About the Role:
The Commercial Counsel will serve as the primary legal advisor for all commercial transactions across HighLevel, driving excellence in both legal strategy and operational execution. This role requires a business-minded attorney who excels at managing complex deal workflows while maintaining exceptional legal standards. The ideal candidate combines strong negotiation capabilities with outstanding project management skills to enable efficient, scalable, and high-quality commercial legal operations.This role offers significant growth potential for an ambitious commercial attorney who excels at both legal strategy and operational execution
What You'll Do:
Commercial Legal Leadership
- Lead all commercial negotiations across the organization, including procurement, tech services, SaaS subscriptions, and affiliate agreements
- Draft, review, and negotiate a wide variety of contracts (MSAs, SOWs, NDAs, DPAs, partnership agreements, influencer agreements)
- Develop sophisticated legal positions that balance risk management with business objectives
- Serve as a key legal contact for the affiliate network and ensure terms are both compliant and business-aligned 2
Process Excellence & Project Management
- Design and implement scalable contract workflows with clear metrics, timelines, and accountability
- Create comprehensive project plans for complex deals and legal initiatives with defined milestones
- Establish and maintain robust tracking systems for contract status, obligations, and renewals
- Proactively identify bottlenecks in commercial processes and implement effective solutions
- Lead cross-functional process improvement initiatives to enhance contract velocity
Template & Knowledge Management
- Maintain and improve contract templates, playbooks, and fallback positions 3
- Develop comprehensive negotiation guidelines that enable consistent, efficient deal execution
- Create and maintain knowledge repositories for commercial legal precedents and best practices
- Build scalable self-service tools for business teams to accelerate routine transactions
Strategic Business Partnership
- Partner closely with finance, procurement, compliance, and business development teams to streamline deal workflows 3
- Provide legal support for new business initiatives involving commercial or third-party relationships 4
- Collaborate with product and marketing counsel where agreements intersect with regulatory or IP issues
- Track legal and regulatory trends in commercial contracting and advise on risk mitigation
What You’ll Bring:
Required Qualifications
- JD/LLB with 6-8years of commercial transactions experience, including significant in-house experience
- Exceptional contract drafting, review, and negotiation skillswith demonstrated business judgment
- Strong project management experience with proven ability to lead complex legal initiatives from conception to completion
- Track record of implementing process improvements that measurably enhance legal operations
- Excellent stakeholder management skills with the ability to influence cross-functional teams
- Superior organizational abilities with meticulous attention to detail and follow-through
Preferred Qualifications
- Experience with contract lifecycle management platforms, particularly IronClad
- Experience in SaaS, technology, or marketing industries
- Background in developing and scaling legal operations in high-growth environments
