Qualifications & Experience

• CA or ICWA mandatory; MBA (Finance) preferred.

• 10-15 years of progressive finance leadership experience, with significant exposure to listed companies.
• Proven success in investor relations, M&A, fundraising, and corporate governance
• Strong command of SEBI regulations, IFRS, Indian GAAP, and corporate finance frameworks.
• Exceptional leadership, strategic thinking, communication, and stakeholder management skills

About the Role

Our client, a listed defence & technology company, is seeking a highly accomplished Chief Financial Officer (CFO) to join its executive leadership team. The CFO will be a strategic partner to the CMD and Board, shaping the company’s financial future and driving shareholder value creation.

This role demands a seasoned finance leader with expertise in investor relations, mergers & acquisitions, fundraising, and corporate governance. The ideal candidate will have a proven track record in steering financial strategy in listed companies and building investor confidence on a national and global scale.

Key Responsibilities:

Strategic Financial Leadership

• Lead the finance function, aligning financial strategy with business objectives and long-term growth plans.
• Drive mergers, acquisitions, and strategic investments — from evaluation and negotiation to integration.
• Provide financial insights and business cases to support strategic decision-making at CMD and Board levels.

• Investor Relations & Board Engagement

• Build and sustain strong relationships with investors, analysts, and key stakeholders to enhance market perception.
• Lead investor presentations, earnings calls, and disclosures in compliance with SEBI and other regulatory requirements.
• Support Board and Audit Committee meetings with accurate reports, forecasts, and risk analysis.

Fundraising & Capital Management

• Manage banking and financial institution relationships to secure optimal funding solutions
• Lead fundraising initiatives across debt, equity, and structured finance, ensuring an efficient capital structure.
• Oversee loan negotiations, sanctions, and effective fund deployment.

Financial Planning, Controls & Compliance

• Drive budgeting, forecasting, and long-term financial planning.
• Ensure adherence to IFRS, Indian GAAP, SEBI norms, and all statutory/regulatory frameworks.
• Strengthen internal controls, risk management, and compliance systems.

Operational Excellence & Team Leadership

• Oversee timely financial reporting, MIS, audits, and statutory filings.
• Drive profitability through cost optimization and working capital efficiency.
• Mentor, develop, and inspire the finance team to deliver high performance with integrity and accountability.
