Senior Legal Associate – Corporate, Compliance & Governance

Role Summary

We are seeking an experienced Senior Legal Associate with dual qualification LLB + Company Secretary (CS) to manage corporate legal, statutory compliance, governance, and commercial contracts for our PAN-India IT System Integration operations. The role will act as a key legal advisor to leadership and business teams.

Key Responsibilities

Corporate & Secretarial

• End-to-end Company Secretary (CS) compliance under Companies Act, 2013
• ROC, MCA filings, statutory registers, annual returns
• Board, AGM/EGM management including notices, agendas, minutes & resolutions
• Ensure strong corporate governance practices

Contracts & Commercial Legal

• Drafting, review & negotiation of:
• IT services & system integration contracts
• OEM, licensing, channel partner & alliance agreements
• NDAs, MSAs, SLAs, SOWs
• Legal support to sales, procurement, alliances & delivery teams

Compliance & Risk

• Legal compliance across IT, data protection, labour & commercial laws
• Maintain compliance calendar, SOPs & internal controls
• Support audits and advise leadership on legal risks

Litigation & Dispute Management

• Handle legal notices, arbitration & disputes via external counsels
• Draft responses, settlements & track litigation status

HR & Employment Legal

• Draft/review employment, consultant & retainer agreements
• Advise HR on disciplinary matters, exits & labour law compliance
• Frame and update internal policies (Code of Conduct, POSH, Ethics, etc.)

Qualifications

• LLB – Mandatory
• Company Secretary (CS) – Mandatory

Experience & Skills

• 10–15 years in corporate legal roles (IT/Tech/Consulting preferred)
• Strong exposure to corporate law, contracts & compliance
• Excellent drafting, negotiation & stakeholder management skills
• High integrity, confidentiality & business orientation
