Role Overview:
We are seeking an accomplished
Head – Legal & Compliance
to lead the organization’s legal, regulatory, and secretarial functions. The role involves shaping legal strategy, managing corporate governance, ensuring regulatory compliance, driving fundraising documentation, and leading IPO readiness initiatives. The ideal candidate brings deep legal acumen, risk management expertise, and the ability to align legal strategy with business goals.
Key Responsibilities:
- Legal Strategy & Governance: Develop and execute company-wide legal strategy; advise leadership on legal and regulatory matters; ensure risk mitigation and compliance with applicable laws.
- Contract Management: Draft, review, and negotiate key commercial contracts (MSAs, NDAs, vendor, content, SaaS, licensing, and lease agreements). Implement a standardized contract management process and guide stakeholders on contractual compliance.
- Corporate Secretarial & Compliance: Ensure adherence to the Companies Act, 2013; manage Board/Committee meetings, minutes, and filings; maintain statutory records and coordinate with auditors and consultants.
- Fundraising & Investor Relations: Support due diligence, draft SHA/SSA/term sheets, ensure compliance with FEMA, FDI, and RBI reporting norms.
- IPO & Capital Market Compliance: Drive legal preparedness for IPO, lead coordination with SEBI, MCA, and stock exchanges, and oversee DRHP documentation and listing compliance.
- Regulatory & Policy Management: Formulate policies (POSH, Whistleblower, Ethics, Data Privacy) and ensure compliance with NSDC, MCA, UGC/AICTE, and other regulatory bodies.
- Litigation & Dispute Resolution: Manage pre-litigation notices, consumer and IP disputes, coordinate with external counsel, and represent the company when required.
- Intellectual Property: Oversee IP registration, protection, and enforcement; guide teams on trademark, copyright, and patent compliance.
- Team Leadership: Build and mentor a high-performing legal team and foster a culture of proactive compliance across departments.
Qualifications & Experience:
- LLB + CS with 8–10 years of corporate legal and compliance experience, preferably in a high-growth or startup environment.
- Strong knowledge of Company Law, SEBI, FEMA, and commercial contracts.
- Experience in fundraising, due diligence, and IPO processes is highly desirable.
