- Lead the secretarial, governance, and regulatory compliance framework for the company and its subsidiaries.
- Ensure full compliance with the Companies Act, 2013, MCA filings, and secretarial standards.
- Manage Board, Committee, and Shareholder meetings, including agendas, minutes, resolutions, and action tracking.
- Maintain statutory registers, member records, share certificates, and digital secretarial files.
- Handle annual filings, XBRL, event-based filings, and group-entity compliances.
- Advise management on corporate law matters, corporate restructuring, ESOPs, and shareholder actions.
- Provide support for SEBI, Listing & Pre-IPO processes.
- Coordinate with merchant bankers, lawyers, and auditors for DRHP, DD, and governance checks.
- Ensure adherence to SEBI governance norms such as Board committees, policies, disclosures, and insider trading frameworks.
- Manage cap table, ESOP pool, vesting records, and compliance with SEBI ESOP regulations.
- Support due diligence for investor queries, capital actions, and regulatory submissions.
- Assist with corporate actions like mergers, amalgamations, business transfers, and capital restructuring.
- Review transaction documents with legal counsel and monitor compliance timelines.
- Coordinate with RTA for maintaining shareholder records and resolving investor queries.
- Manage communications with investors, including disclosures, share transfers, and documentation.
- Develop governance policies such as Code of Conduct, Insider Trading SOP, Board charters, D&O compliance, etc., and ensure readiness for internal audits, statutory audits, and risk control matrices for governance.
Job Requirements
- Mandatory ACS (Associate Company Secretary) qualification; LL.B. preferred.
- Strong understanding of SEBI regulations, corporate restructuring, and ESOP management.
- Excellent documentation, drafting, and communication skills.
- Ability to handle multi-entity compliance in a fast-paced environment.
- Experience working with founders, investors, and senior leadership.
- Familiarity with IPO processes, ESOP accounting, and exposure to handling merchant bankers and lawyers is an added advantage.
