Job Summary:-

A Company Secretary and Legal is a senior executive responsible for ensuring the company complies with all legal and regulatory requirements, managing corporate governance, and overseeing the legal function. This dual role requires a comprehensive understanding of corporate law, excellent communication skills, and the ability to act as a trusted adviser to the board of directors. 


Core responsibilities:-


Corporate governance and secretarial functions


  • Advising the Board:

     Provide guidance to the board of directors and senior management on their legal duties, responsibilities, and effective governance practices.
  • Board and committee meetings:

     Organise, prepare agendas and board packs, record minutes, and manage all related documentation for board and committee meetings.
  • Regulatory filings:

     Ensure the timely and accurate filing of statutory documents, annual returns, and other reports with regulatory authorities, such as the Registrar of Companies.
  • Statutory records management:

     Maintain the company's statutory books and registers, including records of directors, shareholders, and resolutions.
  • Shareholder relations:

     Manage communications with shareholders, coordinate annual general meetings (AGMs), and handle shareholder inquiries. 


Legal and compliance oversight:-


  • Legal counsel:

     Serve as the company's in-house legal adviser, providing counsel on all legal matters, including commercial law, intellectual property, and labour laws.
  • Compliance management:

     Develop, implement, and monitor robust compliance policies and procedures to ensure the company adheres to all applicable laws, regulations, and internal policies.
  • Risk mitigation:

     Identify potential areas of legal and compliance vulnerability and risk, then develop and execute action plans to mitigate them.
  • Contract management:

     Draft, review, and negotiate various commercial agreements, including contracts with vendors, clients, and investors.
  • Coordination with external parties:

     Act as the primary liaison with external legal counsel, auditors, and regulatory bodies.
  • Litigation management:

     Oversee any legal issues or disputes and coordinate with external counsel as necessary. 


Required skills and qualifications:-

Qualifications

  • Professional certification:

     Must be a qualified Company Secretary (CS), typically with membership in a professional body like the Institute of Company Secretaries of India (ICSI).
  • Legal degree:

     A Bachelor's or Master's degree in Law (LLB/LLM) is often required or strongly preferred for the component of the role.
  • Experience:

     Requires (3-5 yrs) of experience in a company secretarial or similar legal and compliance role.

     In-depth knowledge of company law and corporate governance principles.
  • Communication:

     Excellent written and verbal communication skills for preparing reports, drafting legal documents, and interacting with stakeholders.
  • Attention to detail:

     Meticulous and diligent approach to reviewing legal documents and ensuring compliance.
  • Strategic thinking:

     Ability to advise the board on legal risks and opportunities that affect business strategy.
  • Integrity:

     High ethical standards and the ability to handle confidential information with discretion.
  • Organizational skills:

     Strong time-management and multitasking abilities to handle numerous responsibilities and deadlines.
