Responsible for Secretarial, legal & compliance related matters of the Company. Organizing, preparing agendas for, and taking minutes of board meetings and general meetings. Dealing with correspondence, collating information and writing reports, ensuring decisions made are communicated to the relevant Company stakeholders. Compliance with FEMA & RBI Guidelines. Maintain books, registers, records etc. as per the applicable laws and filing of returns etc. with MCA, RBI, DPE, including the security of:o Company sealo Certificate of Incorporationo Certificate(s) on change of nameo Memorandum and Articles of Associationo Directors service contractso Share certificates and stock transfer formso Other documents of title Organizing and participating in various meetings with internal and external stakeholders and preparation of minutes and ensuring that adequate actions are taken against the decisions. Undertake such other duties and tasks as may lie within the scope of this post to ensure the effective delivery and development of the service. Supervising and managing sub-ordinate team. Communicating, Liasioning and representing the company with various state and central government departments/ministries to avail timely approvals of matters concerned with the Company. Must possess strong domain knowledge and understanding of Corporate Laws, Corporate Governance, contract laws, registration, stamping, FEMA etc. Drafting of various agreements and contracts of the Company. Work Experience Minimum 08 (Eight) years of post-qualification experience (as on date of advertisement) in dealing with corporate law. Corporate governance, Contract law, Government interfacing and its related areas as on date of advertisement. Candidates who have experience of working on infrastructure projects in the government/PSU sector will be given preference. Qualification Should be a graduate from a recognized University. An associate/ Fellow Membership of Institute of Company Secretaries of India (ICSI). Preference will be given to those who have completed the 15 (fifteen) months training under any Company/ Practicing Company secretary.
