Job Purpose

Prepare and execute secretarial and foreign exchange compliance pertaining to Cipla group companies to ensure timely compliances and legal documentation thereby facilitating management decision and avoiding adverse regulatory consequences

Key Accountabilities (1/4)

1.Managing Board/ Board committee meetings/ Compliances

  • Ensure standardized procedures and formatting across agendas and minutes for consistency and compliance.
  • Follow the agreed timeline for alignment on agenda and minutes.
  • Update approved minutes in the tracker and maintain a consolidated record.
  • Circulate the updated standardized minutes format to the team.
  • Finalization of agenda, minutes, and scheduler based on inputs.
  • Ensure only new agendas and annexures are reflected in the briefcase and new items.
  • Remove old files after discussion with Manager and CS and ensure they are downloaded saved in shared drives.
  • Biding the minutes on timely basis.
  • Ensure billing, payment, and overall functioning of Board/ Committee meeting application.
  • Timely updation and periodic review of Statutory Registers. Keeping it Audit ready.
  • Identify, prepare and file forms with MCA.
  • Identify, prepare and file Stock Exchange intimations relating to Board Meeting and Board/ Board Committee profile.
  • Assist in performance evaluation exercise.
  • Assist in Director Familirisation Programme.
  • Finalising and confirming the payment of Sitting Fees.
  • Preparation and finalisation of NRC chair report.
Key Accountabilities (2/4)

2.General Meeting

  • Benchmarking of reports with peers. Identify new practices.
  • Preparation and finalise Boards Report, AGM Notice and CG Report.
Key Accountabilities (3/4)

3.Managing Audits

  • Schedule quarterly secretarial audit within 1 month of quarterly meetings.
  • Sharing of requisite documents with Sec auditor and Stat. auditor.
  • Finalise Sec. audit report.
Key Accountabilities (4/4)

4.Record Management

  • Ensuring proper record management of files and folders in softcopy and hardcopy
Education Qualification

Qualified Company Secretary. Degree in law (preferred)

Relevant Work Experience

Candidate with 4-6 years of work experience post qualification preferred.
