Role Overview
We are seeking a
Junior Company Secretary
(Semi-Qualified) to assist in handling corporate compliance, governance, and legal matters. The role will involve working closely with senior company secretaries and the legal team to ensure smooth regulatory filings, corporate governance practices, and communication with stakeholders. The ideal candidate will have hands-on experience with compliance filings, record-keeping, and legal document management, with a solid understanding of Indian corporate laws and regulations.
Key Responsibilities
- Compliance Management:
- Ensure compliance with laws and regulations under the Companies Act and SEBI guidelines.
- Prepare and file statutory documents with regulatory bodies such as the Registrar of Companies (RoC), SEBI, and MCA.
- Monitor regulatory updates from Indian authorities to ensure legal compliance.
- Corporate Governance:
- Implement corporate governance policies in line with Indian regulatory requirements.
- Assist in organizing board, committee, and AGM meetings, including preparing notices, agendas, and minutes.
- Maintain accurate board resolutions and compliance reports.
- Record Keeping & Documentation:
- Maintain statutory registers (such as share register, director register) and other records as mandated by the Companies Act.
- Ensure timely updating and safekeeping of corporate documents in accordance with Indian legal requirements.
- Liaison with Authorities:
- Liaise with regulatory authorities like RoC, SEBI, and other governmental bodies on behalf of the company.
- Respond to legal queries from regulatory bodies and assist in resolving compliance issues.
- Legal Research & Updates:
- Conduct research on Indian corporate laws and regulatory updates.
- Assist in ensuring compliance with evolving legal guidelines issued by Indian authorities.
- Drafting and Reviewing Legal Documents:
- Draft and review legal agreements, MoUs, contracts, and company resolutions.
- Ensure contracts comply with Indian corporate governance laws.
- Training and Awareness Programs:
- Conduct training for employees on company secretarial compliance matters, including changes in Indian corporate laws.
- Promote compliance culture and governance best practices within the organization.
- Support to Senior Management:
- Provide support to senior company secretaries in daily tasks, document preparation, and legal filings.
- Assist in drafting company policies in accordance with Indian regulations.
- Annual Filings & Reporting:
- Assist in preparing and filing annual returns, balance sheets, financial statements, and reports as required by Indian authorities such as MCA and SEBI.
- Ensure timely filing of compliance reports and returns.
- Stakeholder Communication:
- Assist in managing communication with shareholders, directors, and other stakeholders about AGMs, company performance, and governance practices.
- Handle shareholder grievances and regulatory inquiries.
- Due Diligence:
- Participate in due diligence for mergers, acquisitions, or restructuring activities.
- Support legal teams in verifying documents and preparing reports for corporate transactions.
Qualifications & Requirements
- Education: Semi-qualified Company Secretary, currently pursuing CS (ICSI) with completed CS Executive level.
- Experience:
- 1-3 years of experience in company secretarial roles, particularly within Indian corporate governance frameworks.
- Practical knowledge of the Companies Act, SEBI regulations, and other Indian legal frameworks.
- Skills:
- Excellent drafting, filing, and documentation skills in the context of Indian corporate law.
- Strong communication and stakeholder management skills in both English and Hindi.
- Proficiency in MS Office and familiarity with company secretarial software.
