The Firm practice in Corporate, Banking, Insurance & NBFC laws, Insolvency & Bankruptcy and Restructuring, Employment & Labour Laws, EPC , Real Estate & Infrastructure laws, Contract Management, Capital Market, SEBI and Private Equity, litigation, and alternative dispute resolution etc. The firm has offices at Mumbai, New Delhi, Lucknow (UP) & Dubai ( UAE). The Founder & Managing Partner is also a founder of a Private Equity Fund. • Designation: Associate / Sr. Associate – CS & Compliance • Gender: Male/ Female • Job location: BKC Mumbai • Qualification: Graduate , preferable with MBA or similar qualification • No. Of years: Min 3 - 5 years’ PQE • CTC: As per current CTC & experience • Reporting to: Founder & Managing Partner • Office timing: 10AM to 6.30 PM • Weekly off: 2nd & 4th Saturdays are off. Detailed Job Description: ✓ Compliance of the following: a) Companies Act, 2013, Rules made thereunder including Secretarial Standards; b) AIF Regulations, 2012 c) Sebi Marchant Bankers Regulations d) IBC, 2016 and Regulations made thereunder e) Various SEBI Regulations viz SEBI LODR, Take over Code, Insider Trading Code, Issue of Capital etc . ✓ To act as Compliance officer of AIF, if required ✓ Conducting of Board, Committee & General Meetings of Shareholders & CoC meeting under IBC ✓ Drafting Notice, Agenda & Minutes of the CoC, Board, Committee & General Meetings ✓ - Drafting, Directors Report including Corporate Governance Report . ✓ Reviewing the policies made under Companies Act, Rules, SEBI LODR and AIF rules / regulations and recommending changes thereto. ✓ Compliance of AIF Regulations and filing of Form ✓ Drafting and alteration of Memorandum of Association and Articles of Association. ✓ Annual Disclosures of Directors & Maintenance of statutory registers as per Companies Act, 2013. ✓ Co-ordination with intermediaries / regulatory authorities like Stock Exchanges, Depositories, ROC / MCA, RBI, Bankers, RTA, Consultants, SEBI etc. ✓ To fill, file and certify ( PCS certification) various ROC and other forms pertaining to group, portfolio and clients’ companies ✓ Draft, review, and negotiate a wide array of commercial contracts, agreements. ✓ Undertake thorough & nuanced review of contract documents to identify risks and propose commercially viable mitigations ✓ Manage relationships and processes with internal teams and external stakeholders ✓ Ability to analyse commercial transactions & advise client on various legal aspects .
