Job Description

Role and Responsibilities

  • Corporate Compliance:

    Ensure strict adherence to the

    Companies Act, 2013

    , and all other applicable laws and regulations for the private company.
  • Board and General Meetings:

    Coordinate and manage all aspects of board, committee, and general meetings. This includes preparing notices, agendas, board packs, and drafting precise minutes of the meetings.
  • Statutory Filings:

    Prepare and file various forms, returns, and documents with the

    Registrar of Companies (ROC)

    within the stipulated timelines. This includes annual returns and other event-based filings.
  • Maintenance of Records:

    Meticulously maintain and update all statutory registers and records, such as the Register of Members, Register of Directors, and other crucial company documents.
  • Corporate Governance:

    Guide the board of directors on governance practices, their statutory duties, and compliance requirements.
  • Liaison

    Act as the primary interface with regulators, auditors, legal counsel, and other external stakeholders.
  • Secretarial Audit:

    Assist in the preparation and finalization of secretarial audit reports, if applicable.
  • Annual Reports & Boards Report:

    Assist in preparation, review, and finalization of statutory disclosures for annual filings.
  • Advisory Role:

    Provide timely updates to management on changes in corporate law, MCA notifications, and compliance requirements.

Skills and Qualifications

  • Professional Qualification:

    Must be a qualified

    Company Secretary

    and a member of the Institute of Company Secretaries of India (ICSI).
  • Mandatory Training:

    Successful completion of

    EDP (Executive Development Program)

    and a

    21-month internship

    is required.
  • Legal Knowledge

    :

    A solid understanding of corporate law, particularly the Companies Act, 2013, and its rules.
  • Attention to Detail:

    Exceptional precision and accuracy in drafting legal documents and maintaining records.
  • Communication Skills:

    Strong verbal and written communication to interact with directors, auditors, and regulators.
  • Software Proficiency:

    Competence in using MS Office Suite and other relevant corporate secretarial software for e-filing and record management.
  • Analytical & Advisory Skills:

    Ability to interpret law, assess compliance risks, and provide practical solutions.
  • Integrity:

    High degree of integrity and discretion in handling confidential company information.
