Job title: Company Secretary

Job function and sub function: Legal

Position summary: Company Secretary - The Company Secretary ensures that the organization complies with statutory and regulatory requirements and maintains high standards of corporate governance. This role acts as a vital link between the board of directors, management, and stakeholders.

Reports to (role): General Counsel, Company Secretary & Compliance Officer

Team size (Direct and total): 00

Location: Gurgaon

Key responsibilities:

Ensure compliance with the Companies Act

Prepare and maintain statutory registers, records, and filings with regulatory authorities.

Organize and manage board meetings, annual general meetings (AGMs), and committee meetings, including drafting agendas, notices, and minutes.

Advise the board on corporate governance best practices and legal obligations.

Handle secretarial audits and liaise with auditors, regulators, and stakeholders.

Draft and review legal documents, contracts, and agreements.

Manage share transfers, issuance of shares, and related documentation.

Monitor changes in relevant legislation and regulatory environment and take appropriate action.

Ideal candidate experience: 5 & above

Skills and capabilities (leadership and/or functional):

Qualified Company Secretary (CS) from ICSI.
Strong knowledge of corporate laws
Excellent drafting, communication, and organizational skills.
Proficiency in MS Office and compliance software.

Qualifications/ certifications:

Qualified Company Secretary (CS) from ICSI.

Experience:

5-7 Years of experience in corporate secretarial functions
