Commercial Manager – IT / Software Services
Location: Kolkata

About the Role
We are seeking an experienced and high-performing Commercial Manager to strategically lead our commercial, contractual, and compliance functions. The ideal candidate will possess strong expertise in contract management, legal documentation, regulatory compliance, and commercial governance within the IT/Software industry. This critical role manages the full lifecycle of commercial engagements, ensuring legal soundness, financial viability, and risk-free execution. You will be key in supporting business growth and operational excellence.
Key Responsibilities
1. Contract Management & Negotiation
• Draft, review, and negotiate MSAs, SOWs, NDAs, SLAs, vendor agreements, and IT service contracts with precision and commercial clarity.
• Ensure legal accuracy, commercial feasibility, and effective risk mitigation across all contractual documents.
• Maintain and manage a centralized contract repository, ensuring timely renewals, obligation tracking, and deliverable compliance.
2. Commercial Governance & Financial Viability
• Lead bid management, pricing strategies, cost modelling, and commercial evaluations for RFPs/RFQs.
• Support internal audits, commercial compliance reviews, and governance processes, ensuring adherence to internal controls.
• Prepare and deliver MIS reports, commercial dashboards, risk assessments, and management insights for strategic decision-making.
3. Statutory & Regulatory Compliance
• Oversee statutory and regulatory compliance, including GST, TDS, PF/ESI, labour regulations, Shops & Establishment, and applicable IT/ITeS laws.
4. Stakeholder Collaboration
• Collaborate closely with Sales, Delivery, Finance, HR, and Legal teams to ensure smooth commercial execution and alignment across functions.
Required Skills & Experience
• Experience: 8–15 years of experience in commercial, contract, and compliance management within IT / Software / Technology Services.
• Contract Expertise: Strong expertise in contract drafting, legal interpretation, vendor management, and negotiation.
• Commercial Acumen: Proven experience in pricing, proposals, bid management, cost analysis, and commercial modelling.
• Legal Frameworks: Solid understanding of statutory, regulatory, and commercial frameworks applicable to Indian IT companies.
• Core Skills: Excellent communication skills, analytical ability, and stakeholder management experience.
Qualifications
• MBA / LLB / Business / Finance / related field.
• LLB is preferred.
