Legal Counsel

As a Legal Counsel at our organization, you will play a crucial role in ensuring that our operations, policies, and transactions are compliant with all local, state, and national laws and regulations. Your responsibilities will include: - Providing legal advice and support to internal stakeholders such as senior management and Program Heads. - Drafting and reviewing various legal documents including grant agreements, vendor contracts, MOUs, and employment agreements. - Mitigating legal risks and ensuring compliance with relevant statutes like the Income Tax Act, Companies Act, FCRA, and FEMA. - Developing, implementing, and maintaining policies and procedures to ensure ongoing compliance. - Monitoring changes in laws and regulations and advising senior management on necessary actions. In addition to the above key responsibilities, you will also be expected to: - Act as the primary point of contact for internal stakeholders seeking legal advice on day-to-day operations. - Provide proactive legal counsel on corporate governance, contractual matters, regulatory compliance, and risk management. - Identify potential legal risks, develop strategies to mitigate them, and manage legal disputes. - Advise on matters related to corporate governance and ensure compliance with governance standards. - Collaborate with various departments to integrate legal considerations into organizational processes. To qualify for this role, you should have: - Minimum 8-10 years of experience as a corporate lawyer or in-house legal counsel. - Experience working with non-profit organizations is strongly preferred. - Bachelor's degree in Law (LLB). Additional qualifications of Company Secretary (CS) or a Master's degree in Business Administration (MBA) are preferred. - Sound knowledge of laws applicable to non-profit organizations and strong contract drafting, review, and negotiation skills. - Excellent analytical, research, problem-solving, written, and verbal communication skills. - Ability to work independently and as part of a team, manage multiple priorities, and meet deadlines. - Proficiency in legal research databases and tools, and familiarity with corporate governance principles.
