Job Description

Job Summary:

In-House Counsel

Key Responsibilities:

Draft, review, and negotiate a wide range of commercial contracts, including vendor agreements, NDAs, service contracts, MoUs, employment agreements, and licensing agreements.
Advise management and departments on corporate legal matters, risk exposure, compliance issues, and regulatory developments.
Ensure compliance with applicable local, state, and international laws and regulations (e.g., corporate, labor, tax, data privacy, IP).
Manage and resolve legal disputes, litigation, and claims, in coordination with external counsel.
Oversee legal aspects of corporate governance, including board resolutions, meeting minutes, company secretarial work, and regulatory filings.
Provide legal support in business transactions such as mergers, acquisitions, fundraising, and joint ventures.
Develop and implement internal policies, procedures, and training programs to ensure legal awareness and compliance.
Maintain organized legal records, contracts database, and documentation systems.
Stay updated on legal trends and advise on emerging risks or legislative changes affecting the business.

Required Skills :

Strong knowledge of corporate, commercial, and contract law; exposure to labor, IP, and regulatory matters is a plus.
Excellent drafting, negotiation, and legal research skills.
High attention to detail and ability to manage multiple priorities under deadlines.
Strong interpersonal, communication, and stakeholder management skills.
Proven ability to work independently and maintain confidentiality.
