Purpose of Role
The Chief Manager Equity Capital Management (ECM) will support MD's Office and play a strategic and execution-focused role within the MDs Office, responsible for managing equity transactions across the Groups companies, including capital raising, stake structuring, valuation management, investor interface, and transaction execution.

Position Demands Must-Have Qualifications (Non-Negotiable)
- Education: MBA (Finance) from Tier 1 or well-ranked Tier 2 B-Schools OR Chartered Accountant (preferably with rank or Big 4 articleship)
- Experience: 610 years total experience with at least 35 years in Equity Capital Markets / Corporate Finance roles Experience of working in investment banking (e.g., Centrum, Spark Capital, Avendus, ICICI Sec, Axis Cap) or Strategy/Deals/Transaction Advisory with top consulting/Big 4 firms (EY-Parthenon, PwC Deals, KPMG TAS, Deloitte FAS) Demonstrated end-to-end deal exposure (even if not lead) preferably at least 12 transactions
- Skills: High proficiency in financial modelling, valuation (DCF, comps, SOTP), sensitivity analysis Comfort with equity structuring, shareholder models, and cap table impact Skilled in PowerPoint, Excel, and data visualization for Board and Investor decks
- Knowledge: Deep understanding of equity capital markets, capital structure optimization, and fund-raising processes (private equity, QIP, strategic investors) Strong business acumen with ability to quickly grasp industry dynamics (infra/manufacturing exposure a plus) Executive presence with ability to engage CXOs, bankers, and legal advisors Highly analytical with structured thinking and deal-oriented mindset Strong written and verbal communication skills crisp, concise, high-quality output
Key Accountabilities / Responsibilities Strategic Capital Planning
- Support MDs Office in developing and executing equity capital strategies across group companies (listed & unlisted).
- Conduct capital structure optimization and advise on capital raising options (private equity, QIP, IPO, rights, convertible instruments, etc.).
- Prepare strategic roadmaps for monetization, equity dilution, or restructuring initiatives.
Transaction Execution
- End-to-end execution of equity transactions: Build term sheets, Manage due diligence, data rooms, Q&A, and regulatory submissions, Liaise with legal, tax, regulatory, and valuation advisors.
- Interface with investment bankers, legal counsel, SEBI/MCA, and financial advisors for seamless execution.
Financial Modelling & Valuation
- Build detailed valuation models (DCF, comps, precedent transactions, SOTP).
- Perform scenario analysis and capital impact assessments to guide MDs decision-making.
- Benchmark valuations and investor feedback against peer group and industry metrics.
Investor Relations
- Manage presentations, pitches, and interactions with institutional investors, Vedanta Group and strategic partners.
- Support deal negotiations and board/investor discussions.
- Keep pulse on market sentiment, investor preferences, and deal structuring trends.
Governance & Documentation
- Drive internal alignment with business heads, finance, CS and legal teams.
- Prepare high-quality materials for board, investor, and regulator presentations.
- Ensure transaction processes are compliant, well-documented, and auditable.
