Capabilities of an M&A/R I&D Finance & Supply Chain practitioner will include the following: Advising clients on separating/carving out a business unit for divestiture and integrating newly acquired target with buyer’s organization with focus on the Finance and / or Operations (Supply Chain, Procurement and/or Manufacturing) workstreams. Preparing for Day-One (legal ownership transfer) / Day-Two (focus shifts from deal execution to operational transition / TSA exit) planning, business continuity planning, synergy identification / capture and commercial/ operational due diligence with focus on Finance and / or Operations workstreams. Preparing and executing Legal Entity Readiness, Finance Function / Operations (Supply Chain, Procurement and/or Manufacturing) Integration & Carve-Out, Transformation planning, Contracts review, Sourcing Strategy Revamp. Mapping and documenting current state and future state processes with a focus on Finance Operating Model and / or Operations Operating Model. Understanding the end-to-end finance processes such as Order-to-Cash, Record-to-Report, Procure-to-Pay, Close-Consolidate, Taxation etc. Conducting contract metadata extraction, contract separation, supplier negotiation Support, operational benchmarking, supply chain ops cost baselining etc. Analyzing financial statements and large financial and non-financial data sets.
