Job Summary

We are seeking a highly experienced and dynamic

Senior Company Secretary

to lead our corporate secretarial function. The ideal candidate will be responsible for ensuring the organization’s full compliance with corporate laws, governance norms, SEBI regulations, and Board management activities. The role requires strong leadership, attention to detail, and the ability to manage stakeholder expectations in a fast-paced, high-compliance environment.

Key Responsibilities

Statutory Compliance & Corporate Governance

  • Ensure full compliance under the Companies Act, 2013, SEBI (LODR) Regulations, and other applicable laws.
  • Draft, review, and file ROC forms, resolutions, and returns (e.g., MGT-7, AOC-4, PAS-6, DIR filings, etc.).
  • Maintain statutory registers, minutes, and secretarial records as per legal requirements.

Board & Committee Management

  • Organize Board Meetings, AGMs, and Committee Meetings (Audit, Nomination & Remuneration, CSR, etc.).
  • Draft agendas, notices, minutes, resolutions, and coordinate with Board members and stakeholders.
  • Provide Board-level strategic advice on governance, risk, and compliance.

SEBI, Stock Exchange & Listed Entity Compliance

  • Handle all SEBI compliances including insider trading regulations, SDD maintenance, PIT reporting, etc.
  • Manage listing compliances for stock exchanges (NSE/BSE) under LODR and SCRA norms.
  • Coordinate with RTA, depositories (NSDL/CDSL), and legal counsel for investor relations and corporate actions.

Corporate Actions & Transactions

  • Manage share issuance, buy-backs, rights issues, ESOPs, bonus, and other capital market activities.
  • Support M&A transactions, due diligence, corporate restructuring, and regulatory approvals.

Liaison & Stakeholder Management

  • Liaise with regulatory authorities like MCA, SEBI, RBI, NCLT, ROC, and external consultants.
  • Engage with statutory auditors, internal auditors, legal teams, and investors for corporate compliance matters.

Team Management

  • Lead and mentor a team of junior company secretaries and compliance officers.
  • Ensure timely execution of tasks, delegation, training, and performance monitoring.

Key Skills & Competencies

  • In-depth knowledge of Companies Act, SEBI (LODR), FEMA, and other corporate laws.
  • Strong drafting, interpretation, and communication skills.
  • Experience handling complex compliance environments, preferably in a listed entity.
  • Strategic thinking with hands-on execution ability.
  • High integrity, leadership, and stakeholder management skills.
  • Proficiency in using MCA portal, stock exchange portals (NSE/BSE), SEBI SCORE, etc.
