📋 Role Overview

As the

Company Secretary

at NxtWave, you will play a key leadership role, working closely with the

Board of Directors

and senior management. You’ll ensure adherence to statutory obligations, corporate governance standards, and legal frameworks while offering strategic counsel on business and compliance matters. The ideal candidate is proactive, meticulous, and adept at balancing

corporate secretarial responsibilities

with complex

legal and regulatory

functions.

🔑 Key Responsibilities

Corporate Secretarial & Governance

  • Compliance Management:
    • Ensure compliance with the Companies Act, SEBI, FEMA, and related regulations.
    • Maintain compliance calendars for timely filings and disclosures with ROC/MCA.
    • Adhere to ICSI Secretarial Standards and update policies as per legal changes.
  • Governance & Board Support:
    • Serve as custodian of corporate governance, ensuring transparency and accountability.
    • Organize Board, AGM, and Committee meetings; draft agendas, notices, resolutions, and minutes.
    • Advise the Board on best practices, statutory duties, and governance trends.
    • Manage director appointments, resignations, and filings of compliance certificates.
    • Maintain communication with shareholders and regulatory authorities.
  • Statutory Registers & Records:
    • Maintain registers for Members, Directors, Charges, and Shareholding ensuring audit-readiness.
  • Corporate Restructuring:
    • Advise on mergers, acquisitions, and restructuring activities.
    • Handle compliance, documentation, and regulatory approvals for corporate actions.
  • FEMA & International Compliance:
    • Ensure cross-border transactions adhere to FEMA and international laws.
    • Manage compliance for overseas operations, investments, and partnerships.

Legal & Regulatory Functions

  • Contract Management & Negotiation:
    • Draft, review, and negotiate contracts, MoUs, and agreements with vendors and partners.
    • Conduct risk assessments and ensure legal protection for NxtWave’s interests.
  • Mergers, Acquisitions & Strategic Investments:
    • Oversee due diligence and legal compliance for mergers, acquisitions, and fundraising.
    • Support transaction documentation including share purchase and investment agreements.
    • Liaise with investors and legal advisors for deal execution and compliance.
  • Dispute Resolution & Litigation:
    • Manage disputes, litigation, and arbitration efficiently.
    • Coordinate with external legal counsel to ensure favorable outcomes and minimal business disruption.

Strategic & Leadership Responsibilities

  • Regulatory Affairs & Strategic Insights:
    • Keep management informed on evolving laws and regulations impacting operations.
  • Team Leadership & Collaboration:
    • Lead the legal and secretarial team, mentor associates, and align with compliance goals.
    • Collaborate cross-functionally with HR, Finance, Marketing, Operations, and Product teams.
  • Training & Compliance Culture:
    • Conduct internal training sessions to foster awareness of corporate governance and compliance best practices.

🎓 Desired Qualifications & Skills

  • Education:
    • Qualified Company Secretary (CS) from ICSI.
    • LLB/LLM from a recognized university with a strong academic background.
  • Experience:
    • Minimum 1+ years in corporate secretarial and legal functions, preferably in tech, ed-tech, or startups.
  • Knowledge & Competencies:
    • Strong grasp of corporate law, SEBI, FEMA, IPR, and governance frameworks.
    • Excellent drafting, negotiation, and advisory skills.
    • Analytical, detail-oriented, and solutions-driven.
    • Ability to thrive in a fast-paced, dynamic environment with multiple stakeholders.
