The Europe legal team comprises 26 employees who support and advise the business on many aspects of our numerous high-profile projects both in the UK and Europe. Company Secretaries in India support the CoSec team in the UK and Europe for all aspects of corporate secretarial functions. The role will be based in our Gurgaon office and will report to the Deputy Company Secretary for Europe based in the UK.We are looking to recruit a qualified Company Secretary, preferably with a law degree, and with 5 to 7 years of post-qualification experience to support the Europe/UK CoSec team with following qualities
- Proficient in Corporate Laws
- Proficient in Diligent (or willingness to swiftly complete training)
- Intermediate to Advanced MS Office Suite
- Excellent English skills, verbal and written
THE ROLE

The roles on offer are immensely varied and challenging and will give the successful candidate the chance to make a real contribution to an exciting range of corporate secretarial and other legal and commercial work.The successful candidate will be responsible for the following tasks
- Assisting the Europe/UK Corporate Secretariat team (that sits within Legal)
- Key CoSec contact for the Netherlands – arranging all paperwork that is required to be signed by Netherlands directors, including post/courier between directors and to and from notary; key contact for Netherlands notary
- Key contact for the Middle East for Netherlands entities related documentation
- Establishing and maintaining electronic filing systems and organizing the content description
- Sending documents by post, mail, courier, and ensuring that correct charge codes are used
- Creating and sending organization charts
- Monitoring CoSec inbox and adding new entries to the CoSec tracker, and documents to task folders (daily)
- POA filing and maintaining register
- Data consent obtaining, filing and maintaining register
- Working with other CoSec team members on all Netherlands entity board meetings and some UK entity board meetings which include
- Liaising with director EAs to schedule meetings
- Sending meeting invites from CoSec calendar
- Entering T- and T+ reminders into the CoSec calendar
- Keeping entity process documents up-to-date
- Keeping agenda trackers up-to-date (always with 12 months out scheduling)
- Board agendas, calling notices, minutes, action trackers.
- Drafting minutes/resolutions; updating template minutes / resolutions
- Processing, applying, and assisting with various documents for all entities in the Netherlands and their subsidiaries worldwide, including authority letters, Dutch corporate files, Power of Attorneys, certificates of residence, certificates of conduct, etc.
- Coordinating and processing translations.

The successful candidate will be a qualified Company Secretary with significant relevant experience, a strong academic record and must have trained with a leading Company Secretarial/law firm or well-respected in-house team.
