Position: Assistant Company Secretary

Experience: Qualified CS (2-3 Years of work experience)

Location: Gurgaon

Department: Secretarial

Salary: As per industry standards

As an Assistant Company Secretary you will be responsible for supporting the Secretarial team

in ensuring adherence to regulatory requirements under Companies Act 2023 and various other

Compliances under SEBI, AMFI and other regulatory bodies applicable to MF.

Job Role:

To assist the Company Secretary, on the below core areas -:

• Ensuring timely conduct of all Board, Committee & General Meetings i.e. Drafting of Agenda,

Notices, Notes to Agenda, Attendance Sheet & Minutes of Meetings.

• Preparation of Annual Report, Board Report, Directors Responsibility Report, Management

Discussion & Analysis Report, etc.

• Handling Secretarial Audit of the Company

• Maintenance of Statutory Registers under the Companies Act, 2013

• Ensuring secretarial compliances on Resolution by Circulation

• Liasioning with various authorities like MCA, ROC, etc.

• Ensuring Website Compliances relating to uploading of Annual Reports and other regulatory

requirements.

• E-filing of various forms and returns with ROC.

• Coordinating with various departments and compiling the relevant documents and reports.

• Providing data and liasioning with Internal and Statutory Auditors on Half Yearly and Annual

Basis for audit purposes.

• Rendering continuous support to the team in maintaining accurate records and documentation

related to secretarial activities.

• Engage in continuous learning activities to stay updated on regulatory changes and compliance

best practices.

Qualification:

Candidate must be qualified Company Secretary.

• Strong interpersonal skills with ability to collaborate across different departments.

• Efficient researcher.

• Well versed in MS Word, MS Excel, Power Point
