Assistant Company Secretary

Role Purpose:

Key Responsibilities:

• Ensure timely filing and compliance with Company Law, MCA, RBI, and other regulatory requirements.
• Prepare draft notices and minutes for Board and Shareholder Meetings; coordinate meeting logistics and director-related compliance.
• Maintain high standards of corporate governance and liaise with Directors and Shareholders for smooth conduct of meetings.
• Work closely with Finance during internal and statutory audits, ensuring accurate governance reporting.
• Draft and review contracts/agreements related to employees, clients, vendors, landlords, and service providers.
• Support Finance with governance documentation required by banks.
• Assist HR in compliance with labour, HR, and industrial laws.
• Coordinate with internal/external stakeholders on CSR, regulatory communication, and other governance matters.
• Assist with compliance related to the Employees Gratuity Trust and Income Tax requirements.
• Conduct research on applicable statutory regulations (Company Law, FEMA, Labour Laws, IT, Consumer Protection, Environment, and foreign regulations).
• Review legal contracts/documents as required.

Deliverables:

• Support decision-making and execution of governance and legal matters in consultation with the COO/SMT.

Required Skills & Experience:

• 3 - 6 years of experience in company secretarial, governance, or legal roles.
• Qualified Company Secretary with prior experience holding CS responsibilities.
• Strong drafting and communication skills.
• High commitment to corporate governance and compliance.
• Result-oriented with strong attention to detail.
