Job Summary:

Assistant Company Secretary

Role & Responsibilities

  • Assist in preparing agendas, notices, and minutes for Board Meetings, Committee Meetings, and General Meetings of the Group Companies.
  • Support in convening and organising Board Meetings, Committee Meeting and General Meetings including drafting agendas, notices and minutes
  • Ensure timely and accurate filing of statutory returns, forms, and documents with the Registrar of Companies (ROC), MCA, and other regulatory authorities for all assigned entities.
  • Maintain and update statutory registers, records, and secretarial documentation for the assigned entities in line with the Companies Act, 2013 and applicable Secretarial Standards.
  • Assist in drafting Board resolutions, Directors Reports, Annual Reports, and other statutory documents.
  • Support centralized compliance management under applicable laws by ensuring responsibilities are streamlined, documented, and monitored through a centralized tracking system; escalate non-compliances or delays appropriately.
  • Liaise with regulatory authorities, statutory auditors, internal auditors, consultants, and legal advisors on secretarial and compliance-related matters.
  • Coordinate with internal departments across all entities to support corporate governance initiatives, risk management activities, and internal reporting requirements.
  • Assist in managing shareholding records, share transfers, and investor-related communications.
  • Provide support in due diligence, corporate restructuring, mergers & acquisitions, and other similar transactions involving group entities, as required.
  • Maintain strict confidentiality and ensure adherence to internal governance protocols at all times.

Preferred Candidate Profile

  • Qualified Company Secretary (ACS), fresher (including candidates awaiting membership number) or with up to 3 years of post-qualification experience.
  • Good understanding of the Companies Act, FEMA, and other corporate laws
  • Strong drafting, communication, analytical, and organizational skills.
  • Proficiency in MS Office applications, secretarial compliance software/portal-based compliance tools and familiarity with MCA portal and online filing
  • Educational Qualification: Member or aspiring member (professional level completed) of the Institute of Company Secretaries of India (ICSI).
  • Additional qualifications in Law, Finance, or Management will be considered an advantage.
