Job Description

Job Discription:

Qualification :

Experience: Fresher (with Training Exposure from Practising Company Secretary or a Company) or 2-3 years of Experience from a Company.

Knowledge:

* Thorough knowledge of company law, corporate governance, and related regulations.

Required skills and Experience in:

  • Maintain statutory books, registers, and records (e.g., for directors, members, and charges).
  • Preparing the Agenda Notes for Board Meeting and General Meeting.
  • Drafting the Minutes of Board Meeting and General Meeting
  • Pre pare and filing of various forms and returns with MCA.

Secretarial functions:

1. To assist in ensuring compliance of the provisions of Companies Law and rules made there-under and other statutes and bye-laws of the company.

2. Assisting in preparation of agenda for Board Meeting in consultation with the Company Secretary & Chief Executive.

3. To assist in holding meeting of Board and to prepare a correct recording of proceedings.

4. To carry out all matters concerned with the allotment of shares, and issuance of share certificates including maintenance of statutory Share Register and conducting the appropriate activities connected with share transfers/Share Transmission.

5. To update the records in SAP after BM regarding Transfer, Transmission, cancellation, Surrender of share etc.

Legal obligations of Exec. Secretary:

6. Filling of various documents/returns/Forms with Registrar of Companies and other governmental authorities as required under the provisions of the Companies Law.

7. Proper maintenance of books and registers of the company as required under the provisions of the Companies Law.

8. To see whether legal requirements of the allotment, issuance and transfer/transmission of share certificates, have been complied with within the statutory time limits.

9. To deal with all correspondence between the company and the shareholders.

To maintain the following statutory books:

1. the register of transfer of shares;

2. the register of buy-back of shares by a company;

3. the register of mortgages, charges etc.;

4. the register of members and index thereof;

5. the register of debenture-holders;

6. the register of directors and other officers;

7. the register of contracts;

8. the register of directors' shareholdings and debentures;

Minute books

9. Proxy register;

10. Register of beneficial ownership;

11. Register of deposits;

12. Register of directors shareholding; and

13. Register of contracts, arrangements and appointments in which directors etc. are interested.

Other duties:

14. The Exc. Company secretary usually undertakes the following duties:

a. Ensuring that statutory forms are filed promptly.

b. Providing members and auditors with notice of meeting.

c. Filing of copy of special resolutions on prescribed form within the specified time period.

Any other work assigned from time to time by the company.
