Qualification & Experience

  • CA / CFA / MBA (Finance) from a reputed institute.
  • 15-20 years of experience in M&A Execution & Documentation wise, corporate finance, investment banking, or merchant banking.
  • Proven track record of leading and closing transactions in manufacturing / industrial / diversified sectors preferred.


Role Summary

The M&A Specialist will lead strategic mergers, acquisitions, joint ventures, and divestment initiatives with strong merchant banking exposure. The role demands expertise in transaction execution, regulatory compliance, valuations, and financial structuring, ensuring value creation and alignment with organizational growth objectives.


Key Responsibilities

1. M&A Strategy & Deal Execution

  • Identify and evaluate potential M&A, JV, and strategic alliance opportunities aligned with the company’s growth strategy.
  • Lead end-to-end transaction execution including target screening, financial modelling, valuation, and negotiations.
  • Conduct synergy analysis and develop post-merger integration plans.

2. Merchant Banking & Regulatory Interface

  • Collaborate with SEBI-registered merchant bankers, investment bankers, and advisors for deal structuring and fundraising.
  • Ensure strict compliance with SEBI, RBI, FEMA, Companies Act, and other regulatory requirements.
  • Support in preparation of draft offer documents, disclosures, and regulatory filings.

3. Financial & Business Analysis

  • Build detailed valuation models (DCF, comparable companies, precedent transactions, etc.).
  • Conduct industry research, competitive benchmarking, and sensitivity analysis.
  • Evaluate impact of transactions on financial statements and shareholder value.

4. Stakeholder & Negotiation Management

  • Engage with promoters, private equity players, institutional investors, and financial institutions.
  • Lead discussions on deal terms, transaction structuring, and financing arrangements.
  • Present investment proposals and recommendations to senior leadership and the board.

5. Post-Transaction Integration

  • Develop and monitor post-merger integration roadmaps.
  • Track realization of synergies and alignment with strategic objectives.

  • Successfully closed M&A / JV / divestment transactions.
  • Accurate valuation and financial models with strategic recommendations.
  • Regulatory-compliant deal execution with merchant banking coordination.
  • Effective internal & external stakeholder management.

Skills & Competencies

  • Strong expertise in financial modelling, valuations, and due diligence.
  • In-depth knowledge of SEBI, RBI, FEMA, and Companies Act compliance.
  • Excellent negotiation, communication, and presentation skills.
  • High analytical ability, strategic thinking, and execution orientation.
  • Ability to work with cross-functional teams and external advisors.
