Purpose of the Role

The Manager/Sr. Manager Legal is a key strategic legal partner to IDEMIA Indias senior leadership and business units. This role is responsible for ensuring that all commercial, contractual, regulatory, and compliance risks are appropriately managed, while enabling growth, innovation, and cross-border operations. The incumbent will guard the companys interests through effective contract governance, dispute resolution, regulatory advice, data privacy compliance, and HR legal support.

Key Responsibilities

Strategic Legal Counsel & Risk Management

• Provide legal counsel to senior management on commercial contracts, regulatory requirements, litigation, and corporate matters.
• Identify legal risks and propose risk mitigation strategies aligned with business objectives.

Contract Management

• Draft, review, and negotiate a wide range of commercial contracts including vendor, customer, service, partnership, and technology agreements.
• Manage intellectual property-related matters and support IP protection strategies.

Compliance & Governance

• Ensure compliance with statutory, regulatory, and secretarial laws.
• Oversee corporate governance standards and regulatory filings as per applicable Indian laws.
• Lead initiatives on compliance frameworks and internal policy development.

Dispute Resolution & Litigation

• Handle dispute resolution, pre-litigation assessments, and manage external counsel for ongoing litigation.
• Represent company interests in negotiations and legal proceedings

HR & Employee Relations Support

• Partner with HR on employee relations, labor laws, disciplinary matters, and internal investigations. Compliance in relation to the POSH act.
• Provide legal support on employment-related policies and employee contracts.

Data Protection & Privacy

• Advise on Indian data protection laws (e.g. DPDP Act) and global privacy frameworks (GDPR, cross-border transfers).
• Collaborate with privacy, security and IT teams to rollout privacy-by-design, vendor data processing, breach response, audits, and compliance assessments.

General Corporate & Business Advisory

• Provide legal advice on corporate structuring, joint ventures, and M&A activities.
• Act as a trusted advisor to business teams on day-to-day operational and legal matters.

Skills & Competencies

• Strong expertise in contract management, regulatory compliance, corporate advisory, and dispute resolution.
• Deep understanding of statutory, regulatory, and secretarial laws in India.
• Proficiency in employment laws, data protection, and intellectual property laws.
• Ability to work in a fast-paced, dynamic, and global matrix environment.
• Experience handling cross-border contracts, multi-jurisdictional issues, working with global legal teams
• Excellent stakeholder management and negotiation skills.
• Demonstrated capability of taking ownership, working independently, mentoring juniors and engaging with senior leadership
• High integrity, strong decision-making, and problem-solving ability.

Qualifications & Experience

• LLB / LLM from a reputed law school/university.
• Minimum 12+ years of post-qualification experience in corporate legal function, preferably with multinational companies or leading law firms.
• Experience in data protection and privacy frameworks (GDPR, Indian DPDP Act).
• Experience in technology, IT/ITES, or manufacturing sectors is desirable.
• Prior experience in handling compliance, regulatory frameworks, and litigation management.
