Compliance of Companies Act 2013, Listing Agreement, SEBI Insider Trading Regulations, SEBI Takeover Regulations and other allied laws and procedures 2. To maintain Statutory Records and Statutory Registers i.e. Minutes of the Board Meeting and General Meetings, Statutory Registers under Companies Act 2013 and allied laws 3. To file e-forms with MCA with respect to necessary Corporate Actions (Items under Section 179 of Companies Act, 2013, Appointment of Director, Allotment of Shares, Annual Return, Balance Sheet & Profit & loss, Appointment of Auditors etc.) 4. Adherence to all procedures under Companies Act, 2013 with respect to various corporate actions, Shareholders Agreement 5. Board, Committee & Shareholders Meetings 6. Issue and Pledge of shares in D-mat Form 7. Compliance of Listing Agreement for Debt Securities FEMA Compliance 1. To file required documents with FIPB with respect to downstream investment 2. To file required documents with Authorised Dealer with respect to Foreign Direct Investment and Overseas Direct Investment 3. To obtain the Statutory Auditors Certificate with respect to downstream investment compliance Stamp Act Compliance 1. To file application for payment of stamp duty for issue of shares 2. To obtain stamp duty certificate from Collector of Stamps, New Delhi Compliance Management 1. To monitor and review the compliances of Foreign Corrupt Practices Act, UK Bribery Act and Prevention of Corruption Act, India
