Job Description

Key Responsibilities

Statutory Compliance & Governance

  • Ensure compliance with the Companies Act, 2013, Factories Act, Environmental laws, and other applicable industrial regulations.
  • Maintain statutory registers, records, and filings with ROC, SEBI (if listed), and other regulatory bodies.
  • Monitor changes in legislation affecting manufacturing operations (e.g., labor laws, pollution control norms) and advise management accordingly.

Board & Committee Support

  • Organize Board meetings, AGMs, and committee meetings (Audit, CSR, Risk).
  • Draft agendas, circulate notices, and prepare accurate minutes.
  • Guide the Board on governance best practices and legal responsibilities.

Legal & Regulatory Liaison

  • Coordinate with legal counsel on litigation, contracts, and industrial disputes.
  • Liaise with government authorities such as Ministry of Corporate Affairs, Pollution Control Boards, and Industrial Development Corporations.

Manufacturing-Specific Compliance

  • Ensure adherence to industry-specific licenses and permits (e.g., factory licenses, hazardous material handling).
  • Support internal audits related to safety, labor, and environmental compliance.
  • Assist in ESG (Environmental, Social, Governance) reporting and sustainability initiatives.

Secretarial Audit & Reporting

  • Conduct secretarial audits and prepare compliance reports.
  • Ensure timely disclosures and filings under applicable laws and stock exchange requirements (if listed).

Stakeholder & Shareholder Relations

  • Manage investor communications, share transfers, dividend distribution, and grievance redressal.
  • Support CSR initiatives and ensure compliance with CSR regulations.

Qualifications & Skills

  • Qualified Company Secretary (ACS/FCS) from ICSI.
  • 7–12 years of experience, preferably in a manufacturing or industrial company.
  • Strong understanding of corporate law, industrial regulations, labor laws, and environmental compliance.
  • Excellent drafting, communication, and stakeholder management skills.
  • High integrity, attention to detail, and ability to work under pressure.

Reporting Structure

  • Reports to: Managing Director / CFO / Legal Head
  • Works closely with: Legal, HR, Operations, Finance, and Safety & Compliance teams

Job Type: Full-time

Pay: ₹50,000.00 - ₹80,000.00 per month

Work Location: In person
