Head of Legal

Location Gurugram - Haryana, India

YOUR TASKS


A. Contract review and management

  • Leading negotiations on commercial contracts (e.g., sales, purchase); advising commercial team and
    global Legal team on red-flag contractual issues
  • Leading the optimization of Contract Review Process, and coordinate with other stakeholders in terms of
    contract management (including signing, delivery, archive, etc.)

B. Legal research and advice

  • Conducting legal research and consultation to provide solution-oriented advice as well as practical
    commercial suggestions

C. Dispute resolution

  • Formulate defence and claim strategy from or against 3rd parties and propose solution strategy
  • Leading commercial team in negotiation to resolve disputes
  • Assessing of potential risk in terms of a particular type of dispute/claim matter, and coordinate with
    internal stakeholders to work out a mid- to long-term prevention strategy

D. Legal entity management

  • Managing overall corporate governance topics in light of Business Divisions' and Corporate Center's
    legal entity structuring
  • Leading the local team in governmental filings for HELLA legal entities

E. Project support

  • Drafting, reviewing, and revising transaction documents for M&A and joint venture, with guidance from
    senior counsels, as part of strategic cooperation projects

F. Regulatory and government affairs (GA), if applicable

  • Monitoring and tracking regulatory trends in the industry (e.g. cybersecurity, automotive legal areas)
  • Focal point of contact with local government on daily GA matters
  • Managing cross-functional tasks of regulatory review and GA matters

G. Other assignments

  • Maintaining, updating, or optimizing process owned by Legal (e.g., Contract Review Process)
  • Manage commercial insurance
  • Maintain and manage external counsels and agents
  • Overall planning and carry out internal legal training/communications
  • Contributing in Corporate Legal, Compliance & Audit matters (e.g., SG&S CIP, Mobile Work, 5S, assets
    management, etc.)
  • Driving other legal and administrative assignments on ad hoc basis
  • Establishing and coordinating a functional network
  • Conducting of international trainings regarding the responsible expertise
  • Preparing and presenting strategic decisions for innovative processes and technologies
  • Economic considerations, cost comparisons regarding budget and resource planning

H. Leadership (disciplinary)

  • Deploying employees corresponding to their qualifications within the relevant structure. Instructing and
    supporting employees in a target-oriented and motivating manner to fulfill the tasks
  • Guiding, instructing, and supporting employees in function-related tasks
  • Responsible for hiring process and sustain the team performance and evaluation as well as qualification
    demands
  • Managing of employees according to targets and delegation, to select, to qualify and further develop
    employees on the basis of a culture of trust, control effectiveness, in order to develop and compensate potential and promote individual competencies, to achieve the targets of the department

YOUR QUALIFICATIONS
  • Minimum 15 years of experience in the automotive or manufacturing industry.
  • Qualified Company Secretary (CS); an additional LLB/LLM degree will be preferred.
  • Strong expertise in contract management, dispute resolution, corporate governance, intellectual property (IP), and regulatory compliance.
  • Exposure to M&A, joint ventures, and legal entity management.
  • Experience in leading cross-functional legal teams and working closely with global or regional legal departments.
  • High level of integrity, business acumen, and solution-oriented approach
