Executive - Company Secretary

Key Responsibilities:

• Assist in conducting Board Meetings, Committee Meetings, and General Meetings, including drafting agendas, minutes, and resolutions.
• Ensure timely filings with the Ministry of Corporate Affairs (MCA), Registrar of Companies (ROC), and other regulatory bodies.
• Maintain statutory registers and records as per the Companies Act, 2013.
• Support in preparation and submission of annual returns, financial statements, and other secretarial documents.
• Liaise with internal departments and external stakeholders including auditors, legal advisors, and regulatory authorities.
• Monitor compliance with SEBI, Stock Exchange, and other applicable laws (if the unit is listed).
• Assist in drafting and reviewing legal documents, contracts, and agreements.
• Stay updated on changes in corporate laws and regulations and ensure timely implementation.
• Support in handling corporate restructuring, mergers, or other strategic initiatives as required.

Qualification & Experience:

• Education: Qualified Company Secretary (CS) from the Institute of Company Secretaries of India (ICSI). Additional degrees such as LLB or B.Com will be an advantage.
• Experience: 0 to 2 years of post-qualification experience. Freshers who have completed their training/internship and are well-versed with compliance and secretarial practices.
