Position Summary

The Assistant Manager – Company Secretary will be responsible for ensuring compliance with the Companies Act, 2013, SEBI regulations, and other applicable corporate laws. The role involves managing statutory records, coordinating with the Board of Directors and shareholders, ensuring adherence to corporate governance standards, and supporting the organization in legal, regulatory, and compliance matters.

This position also extends to handling SEBI (LODR) Regulations, investor relations, and stock exchange compliance.

Key Responsibilities

1. Statutory & Regulatory Compliance

·      Ensure compliance with the Companies Act, 2013 and allied laws.

·      File statutory returns and forms with RoC, MCA, SEBI, Stock Exchanges, RBI (as applicable).

·      Maintain statutory registers, records, and compliance calendars.

2. Board & Shareholder Meetings

·      Organize Board, Committee, and General Meetings, including preparation of notices, agendas, and minutes.

·      Ensure proper documentation and implementation of Board decisions.

·      Advise the Board on corporate law, governance, and regulatory obligations.

3. Corporate Governance & SEBI Compliance (for Listed Companies)

·      Ensure compliance with SEBI (LODR) Regulations, 2015 and Insider Trading Regulations.

·      Handle stock exchange disclosures, investor grievances, and public announcements.

·      Act as Compliance Officer where designated.

4. Secretarial & Legal Functions

·      Draft and review contracts, agreements, NDAs, and company policies.

·      Manage corporate actions such as issue/allotment of shares, ESOPs, buy-backs, etc.

·      Liaise with regulators including MCA, SEBI, RBI, Depositories, Stock Exchanges, NCLT.

·      Support M&A, restructuring, due diligence, and other corporate transactions.

5. Managerial & Administrative Duties

·      Supervise the Secretarial Department to ensure full compliance.

·      Develop and monitor internal compliance systems and SOPs.

·      Coordinate with finance, audit, and legal teams for integrated compliance.

·      Maintain investor relations and manage shareholder correspondence.

Skills & Competencies Required

·      Strong knowledge of Companies Act, 2013, SEBI Regulations, FEMA, and Corporate Governance norms.

·      Excellent drafting, communication, and presentation skills.

·      Ability to interpret and apply legal provisions to business situations.

·      Leadership and team management capabilities.

·      High level of attention to detail, confidentiality, and ethical integrity.

Qualification & Experience

·      Qualified Company Secretary (CS) – Member of ICSI.

·      Law degree (LLB) preferred.

·      3–7 years of post-qualification experience in secretarial & compliance functions (experience in a listed company is an added advantage).
