Job Title: Merchant Banker / Assistant Manager – Merchant Banking

About the Role

We are seeking a proactive and detail-oriented Merchant Banker (3–5 years’ experience) to join our finance and capital markets team.

The role involves assisting in IPO process management, SEBI filings, corporate finance, and capital market advisory assignments under supervision of senior management and compliance team.

Key Responsibilities

Assist in preparing, reviewing, and filing offer documents (DRHP/RHP) with SEBI and stock exchanges.

Support the end-to-end IPO execution process — due diligence, coordination with legal advisors, auditors, and regulators.

Conduct financial, business, and valuation analysis for fundraising and advisory mandates.

Handle SEBI and stock exchange correspondence and ensure compliance with SEBI (ICDR) Regulations, LODR, and Companies Act.

Prepare presentations, reports, and information memoranda for investors and company management.

Coordinate with clients for data collection, verification, and documentation.

Support the merchant banking license process and post-registration compliance filings, if applicable.

Assist in corporate restructuring, rights issues, and takeover assignments as and when required.

Qualifications

Educational:

CA / CS / MBA (Finance) / CFA / PGDM (Finance)

Experience:

Minimum 3 to 5 years in merchant banking, investment banking, or capital markets (IPO/Rights Issue/SEBI compliance experience preferred).

Technical Skills:

Understanding of SEBI (ICDR) Regulations, Listing Obligations (LODR), Companies Act.

Strong financial modeling, valuation, and analytical skills.

Excellent drafting and presentation abilities.

Certification:

NISM-Series IX (Merchant Banking) certification is mandatory.

Preferred Skills & Attributes

Familiarity with IPO process management tools and SEBI portals.

Strong communication and coordination skills.

Ability to work under tight deadlines and manage multiple assignments.
