Section 1: Position Summary
As a key member of the Legal Department, the Legal Analyst (Contracts) plays a central role in assisting with contractual review and drafting support for client and vendor contracts. This position is responsible for technical aspects of contract review and contractual administration support. This position will report to the Director, Legal, Risk & Compliance Ascensus India and will have oversight from an attorney.
Section 2: Job Functions, Essential Duties and Responsibilities
- Review contract terms to ensure they align with the organization’s policies and legal requirements
- Populate into the appropriate contract template relevant data and terms based on the services to be provided, under the supervision of counsel
- Review and draft in accordance with counsel’s approved terms and guidelines
- Consult with counsel as necessary regarding any terms that do not comply with approved guidelines
- Coordinate with relevant stakeholders within the organization as necessary to ensure correct business terms are reflected (e.g., financial terms, privacy, infosec, insurance, AI, etc.)
- Ensure contracts comply with legal and regulatory requirements and escalate non-compliant terms to counsel
- Identify and mitigate potential risks associated with contracts, such as financial, legal, and reputation risks
- Collaborate with business and legal resources; ensure executed agreements reflect approved terms, conditions and other commitments
- Maintain clear and consistent communication with internal and external teams regarding contract status and performance
- Bring critical thinking skills to each document and to the process
- Thorough attention to detail and ability to proofread legal documents
- Maintain accurate and up-to-date contract documentation and records and store executed contracts according to company guidelines
- Assist with other tasks and projects assigned (e.g., bond administration responsibilities)
- Responsible for protecting, securing, and proper handling of all confidential data held by Ascensus to ensure against unauthorized access, improper transmission, and/or unapproved disclosure of information that could result in harm to Ascensus or our clients.

Supervision
Section 3: Experience, Skills, Knowledge Requirements
- Minimum of 3+years of relevant experience in reviewing and drafting contracts, preferably in a corporate or financial services environment
- Experience with commercial contracting terms
- Proficiency in MS Office (especially with Word, Excel) and Adobe.
- Familiarity with contract lifecycle management (CLM) tools and/or ERP systems is a plus
- Preference for associate familiar with US laws and regulations
- Strong communication skills with the ability to coordinate across multiple departments and interact with them
- Detail-oriented, committed to quality with strong organizational, problem-solving, and time management abilities
- Ability to work independently, manage multiple tasks simultaneously, and drive tasks to completion
- Self-starter with a proactive mindset and an interest in continuous process improvement
- Exceptional oral, written, and presentation skills with a demonstrated ability to communicate effectively across all functional areas and levels of seniority
- Ability to proactively identify areas for process improvement, and to turn recommendations into actions
- Ability to manage multiple tasks/deadlines with limited supervision
