Key Responsibilities

Corporate Governance & Board Management

• Serve as principal advisor to the Board of Directors on corporate governance matters.
• Organize and manage board meetings, committee meetings, and annual general meetings, ensuring compliance with statutory and regulatory requirements.
• Maintain accurate statutory registers, filings, and records in line with corporate laws and financial regulations.
• Draft and review board resolutions, minutes, and governance policies.

IPO & Capital Markets

• Lead secretarial and compliance aspects of the company’s IPO process, working closely with legal, finance, and investor relations teams.
• Liaise with regulators (e.g., SEBI, FCA, SEC – depending on jurisdiction), stock exchanges, and advisors on IPO and listing compliance.
• Ensure timely and accurate disclosures, prospectus documentation, and corporate filings.
• Advise on post-listing obligations, including insider trading compliance, disclosure controls, and shareholder engagement.

ESG & Sustainability

• Develop and implement ESG reporting frameworks aligned with international standards (e.g., GRI, SASB, TCFD).
• Support the Board in integrating ESG principles into corporate strategy and risk management.
• Drive sustainability initiatives, stakeholder engagement, and transparent ESG disclosures.
• Coordinate sustainability reporting in line with regulatory and investor expectations.

Compliance & Risk Management

• Ensure compliance with corporate, financial services, and data protection regulations relevant to the fintech industry.
• Support risk management initiatives and internal controls.
• Monitor changes in legislation, regulations, and governance practices, advising the Board on their implications.
