Key Responsibilities: Perform complete reconciliation of accounts (bank, vendors, customers, inter-company, etc.) on a regular basis. Maintain proper filing and documentation of expenses, sales invoices, vouchers, and bills . Handle bank KYC, compliance, and related documentation as required. Support in the preparation of MIS reports, financial statements, and audit documentation . Process and verify expense claims, petty cash, and vendor invoices . Role Overview We are seeking a highly skilled and proactive Company Secretary to join our leadership team. The ideal candidate will bring deep expertise in corporate governance, IPO readiness, and ESG (Environmental, Social, and Governance) compliance . As a fintech company preparing for a public listing, this role is pivotal in ensuring robust governance structures, regulatory compliance, investor confidence, and sustainable growth. Key Responsibilities Corporate Governance & Board Management Serve as principal advisor to the Board of Directors on corporate governance matters. Organize and manage board meetings, committee meetings, and annual general meetings, ensuring compliance with statutory and regulatory requirements. Maintain accurate statutory registers, filings, and records in line with corporate laws and financial regulations. Draft and review board resolutions, minutes, and governance policies. IPO & Capital Markets Lead secretarial and compliance aspects of the company’s IPO process, working closely with legal, finance, and investor relations teams. Liaise with regulators (e.g., SEBI, FCA, SEC – depending on jurisdiction), stock exchanges, and advisors on IPO and listing compliance. Ensure timely and accurate disclosures, prospectus documentation, and corporate filings.
