Job Description

The CS & Compliance Officer will be responsible for leading and managing all corporate secretarial, governance, and compliance functions for the organization and its group companies. Based in Nerul, Navi Mumbai, the role involves close interaction with the Board of Directors, regulatory bodies, auditors, and various internal stakeholders to ensure timely statutory filings, adherence to corporate governance standards, and implementation of compliance frameworks. The candidate will also play a key role in ESG strategy, investor relations, and oversight of legal and governance processes to support the organization s strategic objectives.

  • Conducting Board Meetings, Committee Meetings, AGM, and interacting with Board Members as required.

  • Maintaining and updating records of Board/Committee Meetings and preparing minutes and statutory filings.

  • Implementing and overseeing governance policies, procedures, and frameworks.

  • Drafting Annual Reports, Board Reports, disclosures, and statutory documentation.

  • Drafting and reviewing intercompany agreements and related legal documents.

  • Liaising with MCA, ROC, Stock Exchanges, SEBI, RBI, and other regulatory bodies.

  • Coordinating with auditors, legal advisors, and internal/external stakeholders on governance and regulatory matters.

  • Advising the Board on governance issues and providing guidance on corporate and SEBI regulatory matters.

  • Supporting internal teams with governance-related advisory.

  • Strategizing, monitoring, and advising on ESG requirements and filings (including BRSR).

  • Conducting Investor Relations meetings.

  • Ensuring secretarial and statutory compliance for group companies.

  • Managing and mentoring a team to ensure timely execution of responsibilities.

  • Ensuring compliance with all applicable laws, regulations, and statutory requirements for all entities within the group.

  • Qualified Company Secretary (CS).

  • LLB is preferred but optional.

  • Minimum 10+ years of experience as a Company Secretary, preferably with a listed entity.

  • Proven experience leading and managing a team.

  • Strong exposure to Board/Committee meetings and AGM processes.

  • Experience in ESG and BRSR reporting.

  • Strong interpersonal, coordination, and stakeholder management skills.
