Job Description

Qualification: LLB/LLM Relevant Experience: 8-11 years Shift: 12pm-9:30pm Location: Gurugram JOB RESPONSIBILITIES Review and draft Engagement Letters. Lead contract reviews, negotiations and finalizing contracts for execution. Ensure that contractual terms are aligned with client’s legal and commercial positions. Maintain and manage a centralized repository of precedent documents and templates. Complete accurate KYC reviews in a timely manner for potential counterparties. Perform KYC screening and share recommendations by reviewing counterparty information using external screening tool. Ensure quality assurance and accuracy in all deliverables. Oversee the implementation of quality systems and standards in projects. Develop SOPs, guidelines, checklists, quality manuals, and training materials. DESIRED SKILLS & COMPETENCIES Candidates should have at least 8-11 - 11 years’ private practice (relevant documents should be there- as proof) and/or in-house experience leading/supporting high volumes of commercial contract reviews and negotiations. Candidates should be willing and looking to consolidate and develop skills in a fast-paced and result driven environment. Technical Skills Solid knowledge of commercial contracts, MSAs SoWs, and end to end contract lifecycle, including ability to draft to a very high standard in English and to carry out negotiations where necessary over both email and telephone. Ability to quickly understand precedent documents, and to digest client’s desired legal positions. Ability to understand what must-have versus what is is a nice-to-have in a drafting context, always taking into account the engagement in question. Ability to work independently (including making decisions where appropriate) and be responsible for legal product. Engage with external counsel. Engage with client deal teams, client and portfolio companies to take instructions on commercial matters and to advise on significance of legal drafting. Detail-oriented, strong analytical and problem-solving skills. Support decision making, delivery/governance related discussion. Functional Skills Excellent written and oral communication in English. Highly organized, ability to prioritize workflow and manage multiple priorities in order to ensure that instructions aren’t missed, and timelines are adhered to. Proficiency in using MS office Suite.
