Job Description

Company Secretary

Key Responsibilities

  • Ensure compliance with the Companies Act, 2013 and other applicable corporate laws
  • Organize and manage Board Meetings, General Meetings, and Committee Meetings, including agenda preparation and minute drafting
  • Draft Board resolutions, notices, shareholder communications, and statutory documents
  • Maintain statutory registers, records, and corporate documentation as per legal requirements
  • Handle ROC filings such as

    MGT-7, AOC-4, DIR-3 KYC, PAS-6

    , and other filings on

    MCA21

  • Ensure timely compliance with

    RBI, SEBI

    , and other regulatory authorities, as applicable
  • Assist management in corporate structuring, share issuance, due diligence, and related matters
  • Coordinate with auditors, consultants, and legal advisors for governance and compliance-related activities
  • Monitor changes in applicable laws and update internal compliance systems and policies

Qualifications & Skills

  • Qualified

    Company Secretary (CS)

    from

    ICSI

  • 0 to 3 years of post-qualification experience in a corporate or consulting environment
  • Good knowledge of corporate laws, SEBI regulations, and secretarial practices
  • Proficiency in

    MCA portal

    ,

    MS Word & Excel

    , and compliance tools
  • Strong organizational, communication, and documentation skills

Preferred Attributes

  • High level of integrity, discretion, and attention to detail
  • Ability to manage multiple assignments and meet deadlines independently
  • Exposure to

    infrastructure, energy, or real estate sectors

    will be an added advantage
