We are seeking an experienced Company Secretary to join our team at State Bank Operations Support Services Pvt Ltd. As a Company Secretary, you will be responsible for ensuring compliance with statutory and regulatory requirements, managing board meetings, and providing strategic advice on corporate governance matters. Reporting to:- MD & CEO Experience Required : Up to 10years. Responsibilities Statutory Compliance : Ensure compliance with all applicable laws, regulations, and guidelines related to company operations. Which included – HR Compliance, Company law Compliance, Finance Compliances Event-based filings (Such as change of directors, an increase of capital, etc.). Board Meetings : Draft agenda, minutes, compile and maintain secretarial records, company law as per the company law. Convening and providing administration for; board and committee meetings for example, drafting /producing agendas, taking minutes, conveying decisions and handling meeting correspondence & ensuring follow-up on action items Corporate Governance : Provide guidance and support on corporate governance practices, policies, and procedures. Guide the board and senior management on corporate governance matters, including board composition, director independence, and ethical standards. Facilitate the annual corporate governance review and disclosure process. Shareholder Relations : Manage communication and relations with shareholders, ensuring transparency and compliance with regulatory requirements. Company Records / Policies : Maintain accurate and up-to-date records, including registers, filings, and corporate documents. Ensuring that policies are up to date and are approved. Compliance Reporting : Ensuring compliance with all applicable laws, regulations, and internal policies. Prepare and submit required reports to regulatory authorities and stakeholders within prescribed timelines. Keeping up to date with regulatory or statutory changes and policies that might affect the organization. Collaborate with legal, finance, and HR departments to address compliance-related matters. Advisory Services : Provide strategic advice to senior management and the board on corporate governance & compliance matters. Risk Management : Identify and assess legal and regulatory risks and develop strategies to mitigate them effectively. Audit Support : Coordinate with internal and external auditors during audits and ensure timely resolution of audit findings. Collaborate with legal, finance, and HR departments to address compliance-related matters. Qualifications Bachelor's degree in Law, Commerce, Business Administration, or related field. Qualified Company Secretary (ACS) with up to 10 years of relevant experience. Excellent communication, Negotiations and Interpersonal skills Strong knowledge of corporate laws, SEBI regulations, and other applicable laws and regulations. Ability to work independently, handle multiple tasks, and meet deadlines. Proficiency in MS Office suite and legal/compliance software. Experience in the banking or financial services sector will be an added advantage. Show more Show less
