Role & responsibilities

• Preparing of Annual Report including Board Report and all annexures complying all LODR Regulations
• All ROC filings for listed Company.
• Ensuring in a timely manner SEBI / Stock Exchange monthly, quarterly & annual compliances.
• Preparing and Filing of Disclosure under SEBI (Prohibition of Insider Trading Regulations), 2015.
• Preparing and Filing of Disclosure under SEBI (Substantial Acquisition and Takeover Regulations) 2011.
• Handling Shareholders Grievances.
• Dealing with complain on SEBI Scores.
• Preparation of Agenda of Board Meeting, Committee Meeting, conducting Meeting of Board, committee and shareholders, Drafting of Minutes of Meeting of Board, Committee and Shareholders.
• Ensuring compliance of SEBI regulations like SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015BSE guidelines and circulars.
• Dealing with Registrar and Share Transfer Agent.
• Dealing with outside agencies / Govt. & Non-Govt. authorities.
• Private placement / preferential offer of shares.
• Charge creation, modification and satisfaction with ROC.
• Well versed with site of Ministry of Corporate Affairs.
• Managing related party transaction.

Preferred candidate profile

• Required Company Secretaries Preferably CS & Law Graduate. Membership is compulsory.
• Handling of LLP annual compliances and reporting changes in Partners/registered
• Overall assistance in Compliance of Companies Act 2013, LLP Act and RBI Fema.
• To track down updates in the Companies Act and related laws
