Company Secretary

Position Summary:

We are seeking a qualified Company Secretary (ICSI member) with 1–3 years of post-qualification experience in a private or public limited company or a firm of practicing company secretaries. The role involves supporting the Legal and Secretarial team while working closely with the Treasury and Finance teams on compliance, governance, and regulatory matters.

Key Responsibilities :

1. Ensure timely compliance with all statutory and regulatory requirements for Servify group entities under the Companies Act, 2013, and applicable international laws. This includes maintaining corporate records, statutory registers, and preparing/drafting notices, agendas, minutes, and resolutions for Board and shareholder meetings.
2. Manage event-based and annual filings with relevant regulatory authorities in India and overseas, including annual returns, regulatory submissions under the Companies Act, 2013, FEMA regulations for FDI/ODI transactions, and other jurisdiction-specific legal requirements.
3. Support capital-raising and fund infusion activities across Servify group entities, both in India and globally.
4. Assist in stakeholder relationship management, including addressing shareholder queries and processing related requests.
5. Support due diligence processes and audits for Servify group entities across domestic and international jurisdictions.

Requirements

1. Qualified Company Secretary with 1–3 years of post-qualification experience.
2. LLB degree preferred (not mandatory)
3. Strong understanding of the Companies Act, 2013, FEMA regulations, and SEBI Laws.
4. Ability to work independently and collaborate effectively with both internal and external stakeholders.
