Company Description Avishkar Infra Realty Ltd. is a Mumbai-based real estate company known for building premium residential and commercial spaces with precision, efficiency, and enduring value. Role Description To ensure that the company complies with all statutory, regulatory, and legal obligations applicable to a listed entity. The Company Secretary will be responsible for tracking and managing compliance with various authorities including the Ministry of Corporate Affairs (MCA) , Securities and Exchange Board of India (SEBI) , Stock Exchanges (NSE/BSE) , Metropolitan Stock exchange of India (MSEI), RBI , ROC and other applicable regulators. The role acts as a key governance officer ensuring adherence to corporate laws, securities laws, listing regulations, and internal policies. Qualifications Corporate Governance and Compliance knowledge Legal and Regulatory understanding Strong Communication and Interpersonal skills Organizational and Time Management skills Attention to Detail and Accuracy Experience in Real Estate industry is a plus Company Secretary qualification preferred Key Responsibilities: 1. Statutory Compliance & Secretarial Duties Manage all company secretarial functions as per the Companies Act, 2013. Conduct board meetings, committee meetings, AGMs/EGMs – prepare agendas, draft notices, minutes & resolutions. Maintain statutory registers and records. File necessary forms, returns, and documents with the ROC, MCA & other authorities on time (e.g., AOC-4, MGT-7, DIR-12). Update and ensure compliance with all applicable regulatory. 2. Legal & Regulatory Affairs Liaison with regulators such as ROC, RERA, SEBI, and government bodies. Overlooking legal documentation such as shareholder agreements, MoUs, JV agreements, etc. Draft board resolutions, maintain director disclosures and declarations 3. Shareholder Relations Manage equity and shareholding records. Address shareholder queries, dividend distribution, share transfers, and disclosures. 4. Corporate Policies & Records Draft and implement internal policies on ethics, compliance, and governance. Ensure proper safekeeping of company documents, certificates, and records. 5. Skills & Competencies: Deep understanding of Company Law, SEBI Regulations, FEMA, and other corporate laws. Excellent drafting, communication, and presentation skills. High attention to detail and integrity in handling confidential data. Good coordination skills with leadership, auditors, and external stakeholders. Tech-savvy with experience in MCA portal, compliance tools, and MS Office. 6. Preferred Experience: Prior work in a listed company & real estate/developer company.
