Key Responsibilities:


Corporate Secretarial Compliance:

  • Ensure timely compliance under the Companies Act, 2013 for a

    Private Limited Company with foreign investment

    .
  • Manage

    board/shareholder meetings

    , minutes, resolutions, registers, and ROC filings.
  • Handle changes in

    shareholding, directorship, and registered office

    with appropriate filings on the

    MCA portal

    (DIR-12, PAS-3, INC-22 etc.).
  • Issue share certificates

    within the statutory time after allotment and manage related ROC filings.
  • Administer the process for

    dematerialization

    of shares.
  • Handle

    increase of authorized share capital

    including board/shareholder approvals and ROC filing (SH-7).
  • File

    FC-GPR

    ,

    FLA

    ,

    ECB

    , and

    XBRL

    returns as applicable.

Foreign Investment & FEMA Compliance:

  • Determine whether

    MHA approval

    is needed for shareholders linked to countries sharing a land border with India (e.g., Chinese investors).
  • Manage

    foreign company incorporation.

  • Handle filings under FEMA, including

    FC-GPR

    ,

    FLA (Annual Return of Foreign Liabilities and Assets)

    , and

    ECB

    .

GST & Taxation:

  • Manage

    GST implications for digital services

    provided by a foreign-owned entity to Indian customers.
  • Address issues relating to

    input tax credit (ITC)

    where vendor hasn't filed

    GSTR-1

    , and track reconciliation.


Employee Stock Option Plan (ESOP):

  • Prepare board/shareholder resolutions for introducing an

    ESOP scheme

    .
  • Coordinate with professionals for valuation, trust setup (if needed), and ensure regulatory filings.


Special Entity Compliances:

  • Fulfill

    NBFC compliance

    including RBI filings, board reporting, and annual return submissions.
  • Manage

    IRDAI compliance

    for a

    Corporate Agent/Insurance Intermediary

    .
  • Ensure maintenance of necessary books, policies, declarations, and timely renewal of licenses.
  • Manage documentation and declarations needed while applying for IRDAI corporate agency license.
  • Handle

    CSR-1 filing

    for newly incorporated entities planning CSR activities.


Winding Up / Strike Off:

  • Manage procedural compliance for

    winding up or strike-off

    of companies including asset realization, stakeholder communication, and ROC filings.


Key Skills Required:

  • Expert knowledge of Companies Act, FEMA, RBI, SEBI, GST, and IRDAI regulations.
  • Strong command of MCA21 portal, RBI FIRMS portal, and GSTN.
  • Proficiency in handling

    XBRL

    ,

    FLA

    ,

    FCGPR

    ,

    ECB

    , and other key statutory filings.
  • Excellent drafting, legal interpretation, and documentation skills.
  • Ability to manage multi-entity compliance across domains like

Qualifications:

  • Qualified

    Company Secretary (CS)

    from ICSI.
  • LL.B. or background in commerce/law
