Job Summary:

Role & responsibilities:

Corporate Governance & Compliance:

  • Ensure compliance with the Companies Act, 2013, SEBI regulations, FEMA, RBI, and other applicable corporate laws.
  • Advise the Board and senior management on corporate governance practices and regulatory requirements.
  • Ensure timely filing of statutory returns, reports, and documents with ROC, MCA, SEBI, stock exchanges, and other authorities.

Board & Committee Management:

  • Organize and manage Board, Committee, and General Meetings, including drafting notices, agendas, minutes, and resolutions.
  • Maintain statutory registers, records, and minutes in compliance with legal requirements.
  • Provide secretarial support to the Board and ensure effective communication between the Board and management.

Legal & Advisory:

  • Draft, review, and vet legal documents, agreements, policies, and contracts.
  • Interpret and advise on legal and regulatory changes impacting the organization.
  • Coordinate with external legal counsel, auditors, and regulatory authorities as required.

Regulatory & Secretarial Functions:

  • Handle matters related to incorporation, restructuring, mergers, acquisitions, and other corporate actions.
  • Ensure compliance with secretarial standards and best practices.
  • Oversee compliance audits and secretarial audits and address observations effectively.

Risk Management & Compliance Monitoring:

  • Identify compliance risks and recommend corrective and preventive actions.
  • Develop and implement internal compliance frameworks and controls.
  • Keep track of changes in laws and regulations and ensure timely implementation.

Preferred candidate profile

  • Qualified Company Secretary with

    10+ years of post-qualification experience

    .
  • LLB qualification preferred

    .
  • Prior experience in a corporate, listed entity, or large organization is desirable.
  • Experience working closely with Boards and senior leadership.

  • Listing and SEBI compliances, working in a listed entity (main board of NSE & BSE)

  • Strong knowledge of corporate laws, SEBI regulations, FEMA, and related statutes.
  • Excellent drafting, communication, and presentation skills.
  • High level of integrity, discretion, and professionalism.
  • Ability to work independently and manage multiple priorities.
  • Strong stakeholder management and advisory skills.
