Job Title: Company Secretary

Department: Legal / Compliance / Corporate Affairs

Reports To: CFO / CEO

Location: Chennai

Job Type: Full-time

Job Summary:

The Company Secretary (CS) plays a key role in ensuring the company complies with statutory and regulatory requirements, and implements decisions made by the Board of Directors. The CS acts as the primary point of contact between the company and regulatory authorities, and provides governance, legal, and strategic support to senior management. Youll need to ensure that our company complies with financial and legal requirements, and maintain high standards of corporate governance. You also need to have a thorough understanding of the laws that affect your areas of work so that you are equipped to provide appropriate legal advice whenever needed.

Key Responsibilities:

Governance & Compliance:

  • Ensure the company complies with all legal, regulatory, and listing requirements.
  • Maintain and update statutory registers and records.
  • File necessary returns with regulatory authorities such as the Registrar of Companies (ROC), SEBI, Stock Exchanges, etc.
  • Monitor changes in relevant legislation and ensure timely compliance.

Board & General Meetings:

  • Organize and coordinate board meetings, AGMs, and EGMs.
  • Prepare agendas, issue notices, and draft minutes of meetings.
  • Advise the Board on corporate governance matters and ensure adherence to best practices.

Legal & Regulatory Support:

  • Draft, review, and manage contracts, resolutions, and corporate policies.
  • Assist in legal matters including corporate restructuring, mergers, acquisitions, etc.
  • Liaise with external legal counsel when necessary.

Stakeholder Communication:

  • Act as a liaison between the company and shareholders, regulators, auditors, and other stakeholders.
  • Ensure timely disclosures and reporting as required by the law.

Corporate Records & Documentation:

  • Maintain corporate records, including board resolutions, policies, and legal documents.
  • Ensure secure and confidential handling of sensitive corporate information.

Qualifications:

  • Qualified Company Secretary (ICSI membership required).
  • Law degree (LLB) or additional professional qualification (e.g., CA, MBA) is a plus.
  • 2 - 4 years of experience in a similar role, preferably in a listed/public company.

Key Skills & Requirements:

  • Deep knowledge of corporate laws, SEBI regulations, and Companies Act.
  • Strong drafting, communication, and interpersonal skills.
  • High attention to detail and organizational ability.
  • Discretion in handling confidential information.
  • Ability to work under pressure and meet deadlines.
  • Excellent organization and time management.
  • An ability to take initiative.
  • A flexible and practical approach to work.
  • Discretion when handling confidential information
  • Maintain a diplomatic approach towards issues.
  • Confidence to provide support to high-profile company staff and board members.

Preferred Industry Background:

Corporate sector (listed/unlisted companies), financial services, legal firms, or consultancy
