We are seeking a qualified and dynamic Company Secretary – Legal Works to manage statutory compliance, corporate governance, and legal affairs of the organization. The ideal candidate will have strong expertise in secretarial practices and corporate law, with the ability to draft, review, and manage legal documentation and ensure compliance with applicable statutory and regulatory requirements.
• Maintain statutory registers and company records.
• Ensure lodgment of statutory forms, returns, and reports under the Companies Act and other applicable regulations (annual accounts, annual returns, changes in Directors/Secretaries, etc.).
• Organize and coordinate Board Meetings, AGMs, and EGMs; prepare agendas, compile and circulate meeting papers, draft minutes, and ensure timely implementation of decisions.
• Manage preparation and filing of documents for rights issues and transfer of shares.
• Ensure compliance with FEMA and allied laws, including procedural aspects and filings.
• Handle ROC filings and FEMA-related submissions.
• Draft, review, and vet legal agreements, including lease deeds, contracts, sub-contracts, MoUs, NDAs, and sale-purchase agreements.
• Manage litigation matters: liaise with consultants, prepare documentation, and coordinate submissions to courts and authorities.
• Ensure compliance with FSSAI, including audits, departmental guidance, and product testing coordination.
• Oversee compliance with Legal Metrology and Weight & Measurement Acts for labeling and packaging.
• Ensure compliance under MSME Act and timely filing of related returns.
• Coordinate for licenses, renewals, Fire NOC, labor department permissions, and related statutory approvals.
• Liaise with internal teams, external consultants, and regulators to ensure smooth execution of compliance and legal matters.
• Prepare and present reports, ensuring that decisions and compliance updates are communicated to relevant stakeholders.
• Support management with additional legal and secretarial responsibilities as required.
• Coordinate visits to various departments for completion of licensing work in line with requirements.
• Undertake inter-departmental visits to manage and complete licensing activities as required.
• Qualified Company Secretary (CS) with LL.B. degree.
• Minimum 2 years of professional experience in handling secretarial and legal work.
• Strong knowledge of Companies Act, FEMA, FSSAI, MSME, and allied laws.
• Hands-on experience with statutory filings, drafting legal documents, and compliance management.
• Excellent knowledge of corporate law and governance.
• Strong drafting, legal interpretation, and documentation skills.
• Detail-oriented with strong organizational and multitasking abilities.
• Good communication and interpersonal skills.
• Ability to work independently and coordinate with multiple stakeholders.
