Role Overview

We are seeking a qualified and experienced Company Secretary with at least 5 years of post-qualification experience, preferably from a publicly listed company. The ideal candidate will bring a strong background in statutory compliance, corporate governance, SEBI LODR regulations, and regulatory documentation for a public limited company, particularly in the insurance sector. Experience in fundraising, mergers & acquisitions, and corporate legal documentation will be an added advantage.


Key Responsibilities

  • Ensure full compliance with the Companies Act, 2013, IRDAI regulations, SEBI (LODR), and other applicable corporate laws, regulations, and guidelines.
  • Manage end-to-end board and committee meetings, including agenda preparation, circulation of notices, drafting resolutions and minutes, and maintaining statutory registers.
  • Liaise with regulators such as IRDAI, SEBI, ROC, and stock exchanges for necessary filings, disclosures, and approvals.
  • Draft, review, and vet legal and corporate documents such as shareholder agreements, MOA/AOA amendments, board resolutions, contracts, and regulatory submissions.
  • Assist in corporate actions, including fundraising, capital restructuring, buybacks, ESOPs, and dividend declarations.
  • Support mergers & acquisitions, due diligence, and corporate restructuring exercises by preparing secretarial documentation and coordinating with legal and financial advisors.
  • Maintain up-to-date knowledge of corporate governance frameworks, compliance changes, and proactively flag potential risks to senior leadership.
  • Coordinate with internal stakeholders, auditors, and external consultants to ensure accurate, compliant, and timely statutory filings.
  • Facilitate AGMs and EGMs, ensuring adherence to all legal and procedural requirements.
  • Maintain records related to shareholding patterns, securities issuance, corporate filings, and other secretarial matters.


Qualifications

  • Qualified Company Secretary (CS).
  • Minimum 5 years of post-qualification experience in a Company Secretary firm or corporate setup, preferably having handled listed or public limited clients in the insurance or BFSI domain.


Skills & Competencies

  • Strong knowledge of Companies Act, IRDAI guidelines, SEBI LODR regulations, and corporate governance frameworks.
  • Demonstrated experience in fundraising and M&A support.
  • Good understanding of corporate legal matters, including agreement drafting, review, and vetting.
  • Excellent drafting, analytical, and communication skills.
  • High attention to detail and ability to manage sensitive documentation with confidentiality.
  • Well-versed with MCA/ROC e-filing, IRDAI portals, SEBI/stock exchange platforms, and secretarial software/tools.
  • Proactive, organised, and able to manage multiple priorities efficiently.


Preferred Background

  • Prior experience handling secretarial duties for an insurance or BFSI company.
  • Experience in dealing with auditors, legal advisors, investment bankers, and regulators.
