Role Overview

Company Secretary

Key Responsibilities

1. Corporate Compliance & Governance

• Advising clients on compliance under the Companies Act, 2013, LLP Act, SEBI regulations, FEMA, and other allied corporate laws.
• Maintenance of statutory registers, records, and minutes of Board Meetings, Annual General Meetings (AGMs), and Extraordinary General Meetings (EGMs).
• Drafting, reviewing, and filing statutory forms and returns with the MCA/ROC.
• Ensuring corporate governance standards in line with best practices.

1. Advisory & Secretarial Support

• Structuring of shareholding, drafting shareholder agreements, and handling corporate restructuring matters (mergers, demergers, buy-backs, etc.).
• Assisting in private placements, rights issues, preferential allotments, and other fundraising activities.
• Supporting clients in due diligence exercises for investment, fundraising, and M&A transactions.

1. Board & Shareholder Relations

• Organizing and managing board meetings and general meetings for client companies.
• Preparing board packs, notices, resolutions, and ensuring proper decision-making processes.
• Advising Directors and Promoters on compliance obligations and liabilities.

1. Regulatory Filings & Liaison

• Coordinating with regulatory authorities such as MCA, ROC, RBI, SEBI, Stock Exchanges, and other statutory bodies.
• Managing filings under FEMA for foreign direct investment (FDI), external commercial borrowings (ECB), and related compliance.

1. Documentation & Legal Drafting

• Drafting, vetting, and reviewing various corporate agreements, MOUs, NDAs, and other transactional documents.
• Assisting in preparation of annual reports, secretarial audit reports, and compliance certificates.

1. Client Management & Advisory

• Acting as a trusted advisor for Finleaf clients on corporate structuring, governance, and compliance.
• Providing proactive updates on regulatory changes and their implications for clients.
  

Key Skills & Attributes

• Strong knowledge of 

  Companies Act, SEBI Regulations, FEMA

  , and allied laws.
• Excellent drafting, research, and analytical abilities.
• Ability to independently handle compliance for multiple clients across industries.
• Good communication and client-handling skills.
• Integrity, confidentiality, and professional diligence.
  

Qualifications

• Qualified Company Secretary (Member of ICSI).
• Additional qualifications such as LLB / MBA (Finance/Legal) will be an added advantage.
• 1–5 years of relevant experience (for Associate / Executive role). Senior profiles may be considered for Managerial roles.
