Xolopak India Ltd is a pioneering company in manufacturing bio-degradable disposable products in India. We specialize in producing wooden cutlery and ice-cream sticks and spoons that are eco-friendly along with paper napkins & paper-based bakery disposable products. Our prestigious customers include some of the largest brands in the food and ice-cream industry.


Job brief:

As a Company Secretary and Compliance Officer, you will be responsible for ensuring that our company operates within legal and regulatory frameworks while also overseeing corporate governance matters. You will serve as a key liaison between the board of directors, management, and regulatory authorities. Your role will involve managing compliance programs, drafting legal documents, and providing expert advice on corporate governance matters.


Responsibilities:

• Develop, implement and manage compliance policies and procedures to ensure adherence to relevant laws, regulations and standards.

• Conduct regular compliance audits and risk assessments to identify potential areas of noncompliance and recommend corrective actions.

• Keep abreast of changes in regulatory requirements and ensure timely updates to company policies and procedures.

• Advise the board and senior management on corporate governance best practices and legal requirements.

• Manage the company's statutory obligations, including filings with regulatory authorities and maintenance of corporate records.

• Draft and review legal documents including contracts, agreements and regulatory filings.

• Ensure that all legal documents are in compliance with applicable laws and regulations.

• Coordinate with external legal counsel as necessary to address complex legal issues.

• Serve as the primary point of contact for regulatory agencies, shareholders, and other external stakeholders on compliance and corporate governance matters.

• Build and maintain positive relationships with key stakeholders.


Requirements and skills:

• Bachelor’s degree in law, Business Administration or a related field.

• A Master's degree or professional certification (e.g., Chartered Secretary) is preferred.

• Proven experience of 8-10 years, working in a similar role, preferably in listed companies.

• In-depth knowledge of corporate governance principles, compliance requirements, and relevant laws and regulations.

• Strong analytical and problem-solving skills, with the ability to interpret complex legal and regulatory issues.

• Excellent communication and interpersonal skills, with the ability to interact effectively with individuals at all levels of the organization.

• Attention to detail and a commitment to accuracy and confidentiality.

• Ability to work independently and manage multiple tasks simultaneously in a fast-paced environment.

• Proficiency in MS Office and other relevant software applications
