Job Purpose Statement-


Areas of Responsibility

Responsible for filing, registering any document including forms, returns, and applications by and on behalf of the company including drafting of letters, resolutions, Minutes, advise a business on the secretarial matters as and when required.

Assist in Governing the Board & shareholders meetings.

Custody of all secretarial documents and keeping the tracker and record of the same for future purposes.

keeping up to date with any regulatory or statutory changes and policies that might affect the organization.

Daily follow up and coordination with finance, tax, and legal department.

Managing and maintaining Structured digital database under PIT Regulations

Managing the workflow for trading approvals, restrictions, closure of trading window etc. Preparation of annual Report, conducting AGM and support for Board and Committee Meeting. Ensuring proper and timely disclosures, statutory compliances and filing requirements.

Assisting in periodical review of various Policies and Codes of the Company.

Compliance Management.

Handling various corporate actions including but not limited to allotment of shares pursuant to ESOP, etc.

Act as a liaison with Auditors, legal counsel and other external advisors.

Handling compliances pertaining to Subsidiaries.

Operating Network Roles & teams Nature/ purpose of interaction Internal Finance Coordination for collecting relevant information Legal Contracts, agreements and other related matters Investor Relations.

Coordination for collecting relevant information Human Resource Coordination for collecting relevant information Other departments For management of USPI and PIT disclosures External RTA For shareholders matters IEPF / RoC For filing documents/returns and seeking approvals SEBI, Stock Exchanges, NSDL & CDSL For compliances Consultants For the correct position of Law, Practices followed Secretarial Auditors For sharing data and other relevant matters Statutory and Internal Auditors For sharing relevant information for Audit Section 6: Job Requirements Academic


Qualification -

Relevant Experience-

Technical Skills/Knowledge

● PIT, IEPF, Dividend, ESOP

● Updated with regulatory or statutory changes and policies that might affect the organization

● Expert knowledge of statutory Rules and Regulations

● ESG & BRSR requirements
